("JDE Asia") through CIMB Investment Bank Berhad to acquire all the remaining ordinary shares of OldTown Berhad at a cash consideration of RM3.18 per offer share ("Offer"). Note that the acceptances pursuant to the Offer is subject to the condition that JDE Asia receives, on or before the closing date of the Offer, acceptances by the holders of the offer shares (provided that such acceptances are not, where permitted, subsequently withdrawn), which will result in JDE Asia, holding in aggregate, more than 50% of the shares excluding shares already held at the date of the Offer by JDE Asia.
