Acquisitions by Narra Industries Berhad (“Narra”) of the entire equity interest in Hume Concrete Sdn Bhd (formerly known as Hume Industries (Malaysia) Sdn Bhd) and the entire 6-year 2% non-cumulative irredeemable convertible preference shares of RM1.00 each in Hume Cement Sdn Bhd (“HCement”) from Hong Leong Industries Berhad as well as the entire equity interest in HCement from Hong Leong Manufacturing Group Sdn Bhd for an aggregate purchase consideration of RM448,000,000 to be satisfied by the issuance of 448,000,000 new ordinary shares of RM1.00 each in Narra at an issue price of RM1.00 each
