Reason
(i) These 78,716,000 Multi-Purpose Holdings Berhad ("MPHB") shares were acquired by Casi Management Sdn Bhd ("CMSB") from Asia 4D Holdings Limited and/or Asia 4D Company Limited (collectively "Asia 4D") through a Direct Business Transaction pursuant to the placement of MPHB shares by Asia 4D to identified placees("Asia 4D Placement"). Dato' Surin Upatkoon is deemed to have indirect interest in these 78,716,000 MPHB shares by virtue of Section 6A(4) of the Companies Act, 1965 held through CMSB, a company in which he has more than 15% equity interest. (ii) These 39,500,000 MPHB shares were acquired by MWE Holdings Berhad from Asia 4D pursuant to the Asia 4D Placement. Dato' Surin Upatkoon is deemed to have indirect interest in these 39,500,000 MPHB shares by virtue of Section 6A(4) of the Companies Act, 1965 held through Pinjaya Sdn Bhd, a company in which he has more than 15% equity interest. Pinjaya Sdn Bhd, is in turn a substantial shareholder of MWE Holdings Berhad. (iii) These 100,000 MPHB shares were acquired by his daughter, Ivevei Upatkoon, from Asia 4D pursuant to the Asia 4D Placement. Dato' Surin Upatkoon is deemed to have an indirect interest in these 100,000 MPHB shares by virtue of Section 134(12)(c) of the Companies Act, 1965 held through his daughter.
