Reason
Puan Sri Fadzilah Binti Md Ariff, Puan Fara Nadia Binti Abd Rahim, and Serata Padu Sdn. Bhd. had on 26 March 2015 entered into Call Option Agreement to grant the Purchaser named in the Call Option Agreement, the right to purchase 14,000,000 ordinary shares of RM1.00 each from Puan Sri Fadzilah Binti Md Ariff, 11,000,000 ordinary shares of RM1.00 each from Puan Fara Nadia Binti Abd Rahim and 5,000,000 ordinary shares of RM1.00 each from Serata Padu Sdn. Bhd. Puan Sri Fadzilah Binti Md Ariff had subsequent to the Call Option Agreement disposed off 1,000,000 ordinary shares of RM1.00 each to the said Purchaser on 30 March 2015. Puan Fara Nadia Binti Abd Rahim had also disposed off 1,000,000 ordinary shares of RM1.00 each to the said Purchaser on 2 April 2015. Tan Sri Abd Rahim Bin Mohamad is deemed interested by virtue of the following:- - Puan Sri Fadzilah Binti Md Ariff is his spouse - Puan Fara Nadia Binti Abd Rahim is his daughter - His direct interest of more than 15% equity interest in Serve Vest (M) Sdn. Bhd., which in turns holds shares in Serata Padu Sdn. Bhd.
