(2) Deemed Interested by virtue of its 100% interest in Berjaya Group Berhad, the holding company of Garima Holdings Sdn Bhd ("GH") - Disposal of ordinary shares to Berjaya Corporation Berhad ("BCorp"), the ultimate holding company of GH pursuant to Share Sale Agreement dated 2 September 2009 between BCorp and GH to facilitate the implementation of dividend-in-specie by BCorp. (3) Deemed Interested by virtue of its 100% interest in Berjaya Group Berhad, the holding company of Espeetex Sdn Bhd ("Espeetex") - Disposal of ordinary shares to Berjaya Corporation Berhad ("BCorp"), the ultimate holding company of Espeetex pursuant to Share Sale Agreement dated 2 September 2009 between BCorp and Espeetex to facilitate the implementation of dividend-in-specie by BCorp. (4) Direct Interest - Acquisition of ordinary shares from Garima Holdings Sdn Bhd ("GH"), Espeetex Sdn Bhd ("Espeetex") and Berjaya Group Berhad ("BGB") pursuant to three separate Share Sale Agreements dated 2 September 2009 between Berjaya Corporation Berhad ("BCorp") and GH, BCorp and Espeetex and BCorp and BGB to facilitate the implementation of dividend-in-specie by BCorp.
