Reason	MUFG is deemed interested in the shares by virtue of: 1. Mitsubishi UFJ Kokusai Asset Management Co. Ltd., (formerly known as Mitsubishi UFJ Asset Management Co., Ltd.) being MUFG's wholly owned subsidiary. 2. Mitsubishi UFJ Trust & Banking Corp, being MUFG's wholly owned subsidiary. 3-4. MUFG's holding more than 20% interest in shares of Morgan Stanley Group. As at 31 January 2017: (a) Aberdeen Asset Management PLC ("Aberdeen") and its subsidiaries hold 14,796,920 shares of the Company; and (b) AMP and its subsidiaries hold 73,200 shares of the Company By virtue of the coming into force of the Companies Act 2016 on 31 January 2017, pursuant to Section 8(4)(c) of the Companies Act 2016, MUFG is no longer deemed interested in the shares of the Company in which Aberdeen and AMP have an interest as Mitsubishi UFJ Trust & Banking Corp does not hold 20% or more in Aberdeen and AMP. As a result, MUFG ceases to be deemed a substantial shareholder of the Company.
