Reason	Pursuant to sections 6A(4) and (5) of the Companies Act, 1965, E.M. Warburg, Pincus & Co., LLC was deemed to have an interest in the shares of Tasek Corporation Berhad ("TCB") held by Hong Leong Asia Ltd. ("HLA"). On 27 December 2001, HLA allotted and issued an additional 295,000,000 shares. By reason of the allotment of those shares on 27 December 2001, the collective interest of the Warburg Pincus group (of which E.M. Warburg, Pincus & Co., LLC is associated) in HLA has been reduced from 17.183% to 11.358%. In accordance with sections 6A(4) and (5) of the Companies Act 1965, E.M. Warburg, Pincus & Co., LLC is thereby no longer deemed to have an interest in the shares of TCB held by HLA as the collective voting control of the Warburg Pincus group in HLA has fallen to less than 15% by reason of the allotment. E.M. Warburg, Pincus & Co., LLC has therefore ceased to be a substantial shareholder of TCB.
