Reason	(1) Interest by virtue of the conditional Sale and Purchase Agreement dated 2 March 2007 entered into between AmcorpGroup Berhad ("AmcorpGroup") and Australia and New Zealand Banking Group Limited ("ANZ") whereby ANZ Funds Pty Ltd will purchase 300,000,000 ordinary shares in AMMB Holdings Berhad ("the Company"); (2) Interest by virtue of the conditional Subscription and Relationship Agreement dated 2 March 2007 entered into between the Company and ANZ whereby ANZ Funds Pty Ltd will subscribe for 163,934,426 Converting Preference Shares in the Company, which are convertible into new ordinary shares in the Company in accordance with the terms of the Converting Preference Shares; and (3) Interest by virtue of the conditional Exchangeable Bond Subscription Agreement dated 2 March 2007 entered into between AmBank (M) Berhad ("AmBank"), the Company and ANZ whereby ANZ Funds Pty Ltd will subscribe for 575 Exchangeable Bonds to be issued by AmBank, which are exchangeable for new ordinary shares in the Company in accordance with the terms of the Exchangeable Bonds.
