Reason	On 17 November 2020, Batu Kawan Berhad ("BKB") entered into a conditional sale and purchase agreement ("Agreement") with Permodalan Nasional Berhad and Amanahraya Trustees Berhad as trustee for Amanah Saham Malaysia, Amanah Saham Bumiputera and Amanah Saham Bumiputera 3-Didik unit trust funds (collectively,"Sellers") for the purchase of 94,449,487 ordinary shares ("said shares") in Chemical Company of Malaysia Berhad. By virtue of Section 8(6)(a) of the Companies Act 2016 ("CA 2016"), BKB is deemed interested in the said shares. Accordingly, Tan Sri Lee is also deemed interested in the said shares via his direct and deemed interests in BKB via Section 8(4)(c) of the CA 2016 although he does not have any economic or beneficial interest in the BKB shares as his deemed interest is held via the interest of his family members as discretionary beneficiaries of Grateful Blessings Foundation ("GBF") (which said family members' interest is held subject to the discretion of GBF's Council).
