Reason Interest by virtue of: (a) Ambank being a wholly-owned subsidiary of AMFB Holdings Bhd ("AMFB") which is in turns a wholly owned subsidiary of AMMB Holdings Bhd ("AHB"). (b) AmInvestment Bank Berhad being a wholly-owned subsidiary of AmInvestment Group Bhd ("AIGB") which is in turns a wholly-owned subsidiary of AHB. and pursuant to the conversion of 163,934,426 Convertint Preference Shares by ANZ Funds Pty Ltd ("ANZ") into 163,934,426 Ordinary Shares in AHB. ANZ's shareholding in AHB has, after the conversion, been increased to 521,926,229 Ordinary Shares in AHB resulting in ANZ having an interest in the shares of Asian Pac Holdings Bhd held by AMSec for AmBank, AmBank and AmInvest (all through AHB in AMFB and AIGB) pursuant to 6A of the Companies Act 1965.
