The Board of Directors of Asian Pac Holdings Berhad is pleased to announce that the shareholders present at the 96th Annual General Meeting held this morning, 25 September 2014 have received the Audited Financial Statements for the financial year ended 31 March 2014 and the Report of Directors and Auditors; and they have duly passed the following resolutions as set out in the Notice of 96th Annual General Meeting dated 3 September 2014:

1. Approved the special single tier dividend of RM0.002 per ordinary share of the Company for the financial year ended 31 March 2014.

2. Re-elected Tan Sri Dato' Seri Hj Megat Najmuddin Bin Datuk Seri Dr Hj Megat Khas as Director of the Company.

3. Re-elected Tan Siew Poh as Director of the Company.

4. Re-appointed Messrs Ernst & Young as the Company's Auditors of the Company.

5. Authority given to the Directors to allot and issue ordinary shares from time to time provided that aggregate number of shares to be issued does not exceed 10% of the total issued share capital of the Company until the conclusion of the next Annual General Meeting.

6. Approved the Directors' fees of RM96,000 for the financial year ended 31 March 2014.

7. Retained Tan Sri Dato' Seri Hj Megat Najmuddin Bin Datuk Seri Dr Hj Megat Khas as Independent Non-Executive Director of the Company.

8. Retained Dato' Mohamed Salleh Bin Bajuri as Independent Non-Executive Director of the Company.

9. Authority given to the ESOS Committee at any time and from time to time to grant options to Dr Yu Tat Loong pursuant to Employees' Share Option Scheme and limit prescribed under the Listing Requirements of Bursa Malaysia Securities Berhad and/or any conditions, modifications, variation and amendments that may be imposed from time to time.
