The Board of Directors of Bina Puri Holdings Bhd. ("BPHB")would liketo announce thatthe Ordinary Resolution was approved by the non-interested shareholders whilst the Special Resolution was not carried at the ExtraordinaryGeneral Meeting held today and hence, given the interconditionality of the Ordinary Resolution and the Special Resolution, the Proposals were not carried and BPHB will comtemplate the next course of action with regards to the Proposals accordingly.

Allthe resolutions were voted by poll and the results of the poll were validated by Coopers Professional Scrutineers Sdn Bhd, the Independent Scrutineer appointed by the Company.
