The Board of Directors of the Company wishes to announce that the Company proposes to seek its shareholders’ approval for the proposed amendment of a clause in the Constitution of the Company at the forthcoming Twentieth Annual General Meeting ("20th AGM") of the Company.

The proposed amendment to the Constitution will allow the Company to utilise the allowable percentage by relevant authorities from time to time for the general mandate to issue new securities, subject to the provisions of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad and the prevailing laws, guidelines or requirements of the relevant authorities.

The details of the proposed amendment to the Constitution will be distributed to the shareholders with the Notice of the 20th AGM of the Company for the financial year ended 31 December 2019 in due course.

This announcement is dated 23 July 2020.

What is the implication of the following to retail investors?
'Directors authorised to issue and allot shares any time, at such price, upon such T&C for such purposes and to such persons at absolute discretion of directors limited to 20% of issued shares.' (I paraphrased the above from notice of AGM.
