Every private placement move will make the share price fall in the short term as not everyone has the same capacity to hold.

Hibiscus issuing shares to buy an asset that is producing oil. Its just like u already identify a house n u go to the bank for housing loan.the same concept applies here. They say buying assets in se asia. I suspect they are buying murphy oil assets becaz murphy wants to be out from this region .murphy if u remember has plan to sell their assets i think 2 yrs ago..but until now no news on the sale.

Indeed, everyone having different trading strategy here. Short term players should consider to let go at this moment, for those believe on the business and looking for the long term investment then this is your chance. From my past experience, hibi did bring a big fortune to my account. So.. I'll be their subscriber to show my support.

Guys, this convertible preference shares is set at RM1 ,convertible at 66cents. Just a common sense, assuming you have this convertible preference share, are you willingly to take a 34cents loss by covert it to common share? If is not then there won't be any dilution of earnings or extra shares.

The concern right now is more on the 2 billion that they raised. Are you confident that the new asset acquisition will generate good profit ? if yes, then buy/hold, else sell.

@catalan

They can't raise money if no one subscribe to their share. And its unlikely they can raise 2 billion from just selling shares to retailers. Those that will be subscribing are probably big banks and funds.

So yes, there definitely will be more shares and dilution of earnings (at least until the new asset starts making money)

Sorry if I’m a bit emotional @mitchu. EXXON is looking to divest soon, with RM2bil, highly unlikely SeaH will buy from EXXON. I will keep knocking the people from the tower to seek clarification as the dealings might be next year, end. For perhaps, they fail to raise fund with current oil price and people seriously invest in Renewable Energy.

Let the management worry about it. They have to come up with something to push the share price up before 12th November. With the oil price at the lows these 2 weeks I am interested in seeing how they turn the table around.

Now I understand. Whoever subscribed the share. They are forced converted after Hibiscus buy the assets. The rate is RM1 divided share average 5 day closing price add 10% premium. In short, the number of share given depends on shares price. The lower the share price, the more mother share you will get. You can choose when to covert before the management completed the purchase

The lowest the share price, the more dilution. The higher the share price. The lesser dilution. Small retailers like us has little contol. Can chiak sai in other words

Why I say so? They will press the share low before they convert their CRPS share. The more shares they dilute and increase % share. The small retailers do not subscribe CRPS share and not convert it at correct timing will be the big loser.

Very smart management, if the press down the share price 0.01.after they convert the share. Let say before that you own total market share 0.001%. After the conversion of shares, you will own 0.00000001% of total market share. You are eaten alive

How do u know 2b won't be completed in first tranche, if it finished in first tranches, than shark will big loss because they give out the cheap ticket to other if they start pressing now.

Will u take this kind of risk if u are big shark? And who will dispose such big Chunk of ticket to u below 50sen?

micsoh

The other buyer also will think if price climb more than 66sen, than they will get less ticket if they subscribe let say got second tranches. Many report point out 2021 onward oil will start moving towards 50 dollars. By that time will not more cheap ticket anymore.

I don't think it will issue second tranche if price cannot substant in 59sen, it target is 2b, can exceed but can't less than.

Newbn00b

First you have to understand how conversion is being done. They have paid RM1 for CRPS. Do you know how many mother share they get? Let say average 5 days closing price is 0.5. Then 0.5 + 0.05(10% premium) which will be 0.55. RM1/0.55 then they get 1.81 mother share. So, 1000 unit CRPS will get 1810 unit of mother share. If they press down the share before complete the acquisition of new oil field. They get more mother shares

Newbn00b
247 posts

Posted by Newbn00b > Sep 10, 2020 10:41 PM | Report Abuse

And the Cprs share will be converted mandatory depend how many percent they have completed the acquisition of the oil field or asset. Surely they will only pump up the share after the completion of acquisition. Before that, the price will be as low as possible so that they can get more mother share. So, the only way to go is down before November

Actually I still don't understand wat this cprs for? If we buy then wat we can get? If we don't buy then wat bad thing will happen? So anyone can use the simplest explanation for this program? Someone say good, someone say bad. So to retailer, this is good or bad? Very confused.......

micsoh

From my understand, this crps will be mature after two year, at that time it will automatically convert to mother share by convert price. But if management want to redeemed , than it can do it after 18month . As for the convert mandatory like u said above, I have no idea.
My understanding is they said better acquire asset only the diluted will be lesser.

CRPS is good for big shark bad for small retailers. The lowest the share price, the more dilution it is. The only thing I don't know is, any share holder is eligible to subscribe base on total amount of shares own or it is eligible to certain shares holders. If is later then GG to us

@micsoh I think you have confused 0.66 premium price that 0.66 just a sample of average price at last 5 days plus 10% premium at Sept 8th. 0.5972 plus 10%. That price is fluctuated depend when you convert. 0.66 is a sample when you convert on 8th September. If you convert all 2 billion CRPS share in the market then you will get approx 3 billion of Hibis mothers share as you have already paid RM2 billion real cash

Newbn00b
247 posts

Posted by Newbn00b > Sep 11, 2020 3:48 AM | Report Abuse

If let say average for 5 market days press down to 0.055, plus 10% premium then 0.06. If you convert all 2 bil CRPS, you will immediately get RM30 billions of mother share. During that time, you will immediately become the major share holder which is biggest boss in Hibiscus director board. Theoretical it is that way which may not be that case in real life. That is how dillute it is to existing share holder if the mother share price pressed down to extreme level

https://klse.i3investor.com/m/blog/humblepie188/2016-01-14-story89814-Private_Placement_Good_or_Bad.jsp Read to understand. It is the other way round. Why would you pay the conversion price of 0.66 with your RM1b if you can buy cheaper in the open market?

AllYouCanBuy
536 posts

Posted by AllYouCanBuy > Sep 11, 2020 6:54 AM | Report Abuse

If you were Hibi management, would you like your share price to fall while trying to raise RM1b? If you were the qualified investor with RM1b, if you can buy in the open market at 0.50 would you willing to buy it at 0.66?

It's not so complicated. Make life simple.
