NEW ISSUE OF SECURITIES (CHAPTER 6 OF LISTING REQUIREMENTS) : FUND RAISING HIBISCUS PETROLEUM BERHAD ("HIBISCUS PETROLEUM" OR "THE COMPANY") (I) PROPOSED PRIVATE PLACEMENT OF CRPS; AND (II) PROPOSED AMENDMENTS (COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

On behalf of the Company, HLIB and CIMB wish to announce that the first tranche of the Islamic CRPS (“CRPS”) has been closed today with a sole allocation of 6,600 CRPS to Dr. Kenneth. Accordingly, the first tranche of CRPS (“CRPS-T1”) will not be listed. The sole allocation of CRPS-T1 to Dr. Kenneth is primarily to close CRPS-T1 in accordance with the terms of the CRPS before proceeding with the subsequent tranche.



HLIB and CIMB, on behalf of the Company, also wish to announce that the Board has fixed the conversion price for the second tranche of the CRPS (“CRPS-T2”) at RM0.48 per CRPS, representing a premium of approximately 4.14% to the 5-day VWAMP of Hibiscus Petroleum Shares up to and including 6 November 2020 (being the market day immediately before the price-fixing date on 9 November 2020) of RM0.4609. The utilisation of the proceeds of the CRPS, including CRPS-T2, will be for the acquisition of equity interests in producing upstream oil and gas assets in the South East Asia region through international bidding processes.



The issuance of CRPS-T2 will be sized to minimise dilutive effects to existing shareholders, taking into account the requirements of financial institutions that are supporting the debt component of various bids being contemplated for submission, by the Company. Notwithstanding the above, the Board and the Joint Bookrunners in their absolute discretion may decide the size of the CRPS-T2 upon completion of the book-building exercise.



The book-building exercise for the CRPS-T2 shall commence on Monday, 9 November 2020, with proceeds to be received by Monday, 16 November 2020.

what the....Suprisingly stupid move and not even secure any buyer for CRPS T1. Now it will be a race on keeping pushing down the price for more and cheaper tranche.

But now it has 0 in hand, haha.
Please go and go with 10 more tranche la, perhaps 10c so the dilutive is "under controlled" as they mentioned.

okla, enough of my complains.
No points anymore to stay with a company that just talk big but never walk their talks.
Really lesson learnt, should have been alert when saw their impossible 2021 mission and also tiny shareholdings from BOD.

Time to say good bye and move on after 3 years with them (waste of time obviously)

Will not sell any share, but ready to collect cheaper. Unless you think can earn back the loss with the next share, go ahead. I always hold long term or until TP whichever comes first. Up to today all ended in profit regardless whether it's months or years of holding, whether it's good or bad stock.

This is why Calvin's statement rings so true few years back till today - money always flow from the weak hands to the strong hands.

@sting79, i dont mind to stay with a company that even though having hard times but still trying hard to providing value to shareholders.

But what hibiscus doing now is destroying value (sell its asset in low price), and even director himself not subscribing the crps tranche 1 (not eating his own cooking). How can we still trust them to keep on generate value for company

Dericlock: Yes, Hibiscus seems like a bad choice to hold now, or even for next year with the new normal not going away. Maybe because I invest using extra money and split equally into different stocks, hence not really bothered by a single stock's price movement. Apologies if my perception in market is different than yours.

Since the day I returned to stock market after a very bad fall due to speculative mindset years ago, I never lost once in the market if just dumb dumb hold or even average down, be it good or bad stock. Anyway, that's how I look at the market, not hoping to earn a living out of it, but a place to grow your investment (definition from google: To invest is to allocate money in the expectation of some benefit in the future).

(Bloomberg) -- Oil in London jumped by the most since June as Pfizer Inc. reported a potential Covid-19 vaccine breakthrough.

Crude futures spiked following news the vaccine, being developed by Pfizer and BioNTech SE, prevented more than 90% of infections in a study of tens of thousands of volunteers.

Markets globally surged. WTI climbed more than 10% in New York, while global equities soared. It led to broader strength in the oil futures curve, with timespreads also moving sharply higher.

A vaccine “would be the most meaningful type of mitigator to the situation,” Saudi Energy Minister Prince Abdulaziz Bin Salman said prior to the Pfizer announcement at a conference on Monday. “We’re still hopeful that vaccine is found and that vaccine or vaccines spread and hopefully mobility would be regained.”

Since Covid first emerged, oil markets have been steadily recovering from the biggest crash in consumption in a generation. Transport use in Asia has rebounded strongly, but the renewed resurgence of the virus in Europe has continued to weigh on demand in the region. The emergence of a vaccine would not only help regions suffering form renewed lockdowns, but could also help spur the return of aviation demand -- the hardest hit corner of the market.

The relief in the market was seen in the profits from turning crude into transport fuels. Gasoline cracks in the U.S. reached their highest since mid-October, while those in Europe also gained. Jet fuel was also gaining relative to the value of other transport fuels in Europe, Bloomberg fair value data show.

Prices had earlier rallied as Joe Biden declared victory in the U.S. presidential election and began preparations to navigate America’s pandemic-hit economy out of crisis, with potential shifts coming on a range of policies from fiscal stimulus to Iranian sanctions. At the same time, Saudi Arabia said that OPEC+ could extend oil cuts through 2022 as the group seeks to re-balance the glutted market.

In the resolution that was pass at the EGM, there was no mention that the Directors have the absolute discretion to fix the price of CRPS conversion. Now its confirm that they have this right based on average price traded for the past few days.
I was fooled into it. Think those people sell down from about 58 cents to buy the CRPS at 48 cents. Hibiscus had not paid dividends and the CPRS carries a 4% coupon.
My average cost is about 58 cents. Guess have to lock in and see.

Why we bet on HIBISCUS PETROLEUM as oil makes a comeback in 2021?

- Oil prices set to recover, limited downside but chances of rising is a lot higher.

- Goldman Sachs in October came out with a report predicting US oil prices to rise to US$65 per barrel by late next year, owing to a rebound in gasoline demand and constrained shale supply. The bank further feels that the prospects for fossil fuel price rises are potentially higher under a Biden win.

- While that could be true, what is undeniable is that at US$40, oil is currently at one of its LOWEST LEVELS over the last two decades.

- The low oil price environment offers a good opportunity for companies to acquire oil-related assets as at significantly CHEAPER prices.

- In the last 2 years, major players such as Shell and Chevron have been buying such assets.

- Hibiscus Petroleum Bhd is one such company.

- Hibiscus has ZERO DEBT and is a NET CASH company.

- The company roughly generated profit of RM166mil for its financial year ended June 30, 2020, excluding impairments.

- Its portfolio of assets consists of eight producing fields, five discovered fields and two

- Hibiscus acquired 50% of the Anasuria Cluster in the North Sea in 2015 when oil prices were at US$35. In 2016, it acquired 50% of the North Sabah asset from Shell when oil prices were US$40.

- When it first announced the acquisition of North Sabah, Hibiscus' share price was at the 20 sen level. Oil prices were at the US$35 mark.

- As the deal was completed in March 2018, and with oil prices recovering to the US$80 level, HIbiscus' share price shot up to 90 sen.

- Thus for investors who had bought Hibiscus at 19 sen when the deal was first announced, the share price had gone up some 4 TIMES, by the time the deal was completed.

- Hibiscus is now looking to raise RM2bil in equity to fund a TRANSFORMATIVE ACQUISITION that is bigger than Anasuria and North Sabah combined.

- Assuming Hibiscus is raising debt almost equal to its equity position for its new acquisition, it is very likely that the target company has production at least 4 times of what Hibiscus is doing presently.

So why do we think Hibiscus is a good investment?

1. Hibiscus ALWAYS MOVES when it makes an acquisition.

2. Let’s say it DOESN'T make an acquisition, although extremely unlikely. Hibiscus' current production will still INCREASE by another 15,000 barrels of a 150% by 2022, thanks to its ongoing development field in Anasuria and Marigold.

3. Hibiscus records EBITDA margins of more than 50% as it acquired both its producing fields cheap. The cost per barrel in Anasuria is US$20, while the cost in North Sabah is US$15.

4. At 47 sen, Hibiscus is at one of its lowest levels, despite being fundamentally very solid. The book value of Anasuria as of June 2020 is at US$200mil while North Sabah stands at over US$190mil.

5. This means that just ONE of its producing field alone SUPPORTS its current market cap of RM754.4mil.

You are my Sifu. I am a ex stockist and remisier. Have being in the mkt for over 35 yrs. I really miss the clause that allow the directors
the right to adjust the CRPS conversion price. Can you point out where you find that CLAUSE in the info send to shareholders.
My play would have being very different then.
I would have join the sell down from the 60 cents level and start aggressive collection after announcement of issuance of 2nd tranche at 48 cents. Big opportunity miss. My cost is still 58 cents.
