cytew Buy more PUC if acquisition of remaining 67% of Pictureworks is successful..But to carry out this ,PUC needs an immediate cash of about 25 million, and a total about 120 million cash is needed..Therefore fund raising through private placement or right issue or both is essential..

Daily8 cytew, what will be the impact from private placement or right issue? The spread of shares is so huge at the moment. Price will gets lower and lower. Don't forget PP has been done last year.

cytew Once all the corporate exercises are completed, will go for share consolidation, upon consolidation , the shareholders distribution would be aligned,by then PUC will no longer a penny stock , with anticipated consolidated profit of about 30 to 35 million, I expect the market capitalisation should be in the range of 800 million to 1 billion

cytew I only hope that the right issue is PA or LB with cash option conversion and attached with free wc, otherwise the taken up rate right might not be satisfactory... Hopefully the advisers are smarter now

cytew Daily8, did you read through the two PIctureworks acquisitions , namely 33% acquisition during 2018,and current 67% acquisition..And also their payment methods and schedule ? In addition to that , please read through its current balance sheet.. Where can PUC get cash 120+ million cash for the acquisitions ?

cytew To ensure successful acquisition of remaining stake in Pictureworks, PUC needs cash of about 120+ million,therefore fund raising through right issue , private placement or combination of both is essential..Upon completion in order to normalize it's highly skewed shareholders distribution ,shares consolidation is necessary

Currently,PUC other existing businesses are not mature enough to generate steady profit incomes except Pictureworks,therefore it is highly important to ensure successful acquisition of remaining 67% of Pictureworks..Upon completion, PUC will be able to move forward more smoothly...

reiwa Good morning ladies and gentlemen.

Does the conversion of ICULS and warrants generates proceeds to the company?

If so, a run through of the announcements by the company from period of 1-Jan-2019 to 31-Mac-2019, there would be roughly RM 23 million proceeds from the conversion.

The proposed acquisition of PW, there are settlement in cash and shares of PUC to the sellers (CCC, SGSB, BW) in 3 tranches.

Tranche 1: Upon completion of the acquisition, estimated to be in 2Q2019, RM 9 million to be paid to SGSB

Tranche 2: Upon release of FY2019 financial result of PW, and meeting profit guarantee of RM 25 million, RM 34.9 million to be paid to CCC (most probably in first half 2020)

Tranche 3: Upon release of FY2020 financial result of PW, and meeting profit guarantee of RM 28 million, RM 39.4 million to be paid to CCC (most probably in first half 2021)

Please correct me if I'm wrong.

cytew We had suggested to the management , if fund raising is through right issue, please propose right issue of ICPS (PA) with attached free warrants instead of ordinary share, and mode of conversion of PA to mother share must come with " cash option" so only PA is ATTRACTIVE to shareholders because it will behave like a " non-burnt" warrant with leveraging power.

reiwa For now, RM 9 million cash required to complete acquisition of PW.

Remaining RM 34.9 million cash payable in 2020, and RM 39.4 million cash payable in 2021 as per Tranche settlements listed in above comments.

cytew Reiwa, you overlook the cash payment due now and next year that amounted about 32 million on 33% acquisition of pictureworks last year...The conversion of La and WB in February only bring in about 10.5 million cash

For ease of reference, cash payment due now, RM 13.4 million + RM 9 million = RM 22.4 million

Cash payment due in 2020, RM 18.5 million + RM 34.9 million = RM 53.4 million

Cash payment due in 2021, RM 39.4 million



Can advise on the calculation for conversion of La and WB?

cytew The effective and attractive right issue would be ICPS (PA) at 6sen each for every 2 ordinary shares held , and attached free 1 warrant with every 2 ICPS subscribed. PA conversion price and warrant price are to be set at 12 sen, duration of PA is 5 years and duration of warrant is 3 years..However PA conversion mode option need to be (a) 2PA to 1 mother share OR (b) 1 PA+6 sen to 1 mother share...This corporate exercise will help to raise a gross proceed of about Rm 64.7 million, and upon successful completion of 67% Pictureworks , go for share consolidation of 5 to 1 ( to rectify the skewness of shareholders distribution by flushing out all the penny stock traders)

Should I forward this proposal personally and directly to the boss ?

Here today to share about the progress on the partnership with Revenue Monster on the leasing of payment terminals for WeChat Pay.

The locations that I have personally experienced with WeChat Pay:

1. Petron
2. Starbucks

There are close to 200 Petron stations with WeChat Pay enabled.

reiwa Recall back in 23 November 2018, Revenue Monster (RMSB) and Founder Pay (FPSB), entered into agreement for leasing of payment terminals. Notable points include:

1. RMSB shall place a minimum order of 2,000 units of the Products within five
(5) months from the date of the Product Lease Agreement

2. RMSB agrees to pay to FPSB a monthly rental rate based on the monthly Net
Merchant Discount Rate (MDR) Revenue (as defined in the Product Lease
Agreement) processed through each of the Products, or a minimum rent for
each of the Products, whichever is higher.


Based on the above, we infer that the 2,000 units of payment terminal are being deployed majority in Petron, Starbucks, and KK Supermart.

Revenue Monster charges 1 to 1.3% MDR for WeChat Pay

reiwa Veron, you are right, there are also credit card with paywave feature that we find very convenient. Unless WeChat Pay offers promotion like cash back, there are unlikely mass adoption of the service.

The current e-wallet that is widely used in Malaysia is no doubt Boost as it offers cash back for almost every transaction we make.

cytew Reiwa, 40.586 million was raised by issuing La for solar energy project by current CEO's brother, since the CEO had decided not to expand solar energy project...So it was temporary invested in an financial asset until the approval obtained from SC and shareholders through EGM for using it for other purposes
