SC SUES FIVE INDIVIDUALS FOR CAUSING WRONGFUL LOSS TOTALLING RM120.6 MILLION TO FOUR PUBLIC LISTED COMPANIES
Kuala Lumpur, 12 December 2022

The Securities Commission Malaysia (SC) on 29 November 2022 filed a civil suit in the Kuala Lumpur High Court against five individuals for allegedly perpetrating a scheme to defraud and/or causing wrongful losses valued at RM120.6 million to four public listed companies.

The five individuals are Tey Por Yee, Lim Chye Guan, See Poh Yee, Francis Tan Hock Leong and Faizatul Ikmi binti Abdul Razak.

The companies involved are Nexgram Holdings Berhad, R&A Telecommunication Group Berhad, Asdion Berhad and Ire-Tex Corporation Berhad.

The SC alleged that Tey, Lim, See and Tan, in their various capacities as directors and officers of the four public listed companies, siphoned out the proceeds of the companies’ fundraising exercises, while Faizatul Ikmi abetted or furthered the siphoning.

The aforesaid conduct of these individuals, which took place between December 2013 and July 2014, are in contravention of sections 317A and 179 of the Capital Markets and Services Act 2007 (CMSA).

Under section 317A of the CMSA, a director or an officer of a listed corporation shall not do anything with the intention of causing wrongful loss to the listed corporation. Under section 179, a person is prohibited from engaging in fraud or deceit when subscribing, purchasing or selling any securities.

In order to prevent dissipation of the assets of the defendants, the SC had, on 1 December 2022, obtained an injunction from the Kuala Lumpur High Court to restrain Tey, Lim, See and Faizatul Ikmi from dealing with the monies in their respective bank accounts. The SC did not seek an injunction against Tan as he is an undischarged bankrupt.

The SC sought various orders in its civil suit, including orders that the defendants:

had contravened sections 179 and 317A of the CMSA;
pay the SC the following:
disgorgement of all proceeds obtained from the contravention of these sections, pursuant to sections 200 and 360 of the same Act; and
a civil penalty of RM1 million each, or such amount as considered appropriate by the Court, in accordance with section 200(2) of the CMSA; and
be barred from being directors of any public-listed company, and from trading on any stock exchange or derivatives exchange, for a period of ten years.

The High Court had initially fixed 12 December 2022 for the defendants to respond to the injunction application. However, following the non-appearance of the defendants, the High Court granted an ad interim injunction and fixed 9 January 2023 for the defendants’ response.

JELI: Serba Dinamik Holdings Bhd melakar membantu penduduk Jeli di Kelantan untuk menikmati internet dengan menggunakan teknologi satelit dalam inisiatif program khidmat masyarakat syarikat itu.

Syarikat senaraian awam itu dalam satu kenyataan berkata, program khidmat masyarakat internet yang dilaksanakan khususnya kepada masyarakat Kampung Lawang Jeli, Kelantan itu adalah antara usaha dalam menyokong kerajaan pelbagai kementerian di Malaysia untuk menawarkan penyelesaian kesalinghubungan internet di kawasan terpencil.

Menteri di Jabatan Perdana Menteri (Ekonomi), Datuk Seri Mustapa Mohamed, berkata masalah yang dihadapi di kawasan itu kini selesai dengan kerjasama oleh syarikat Serba Dinamik dan syarikat Mosyawa.

Katanya, dengan penggunaan kaedah teknologi satelit itu, ia boleh melegakan penduduk di sekitar 500-meter kawasan terbabit yang sebelum ini tidak mempunyai capian internet berikutan kawasannya yang terpencil.
Ahli Parlimen Jeli itu turut memberitahu teknologi satelit berkenaan juga telah dipasang di dua lokasi termasuk Sekolah Kebangasaan (SK) Lawang dan Pusat Internet Kampung Lawang.

"Ramai pelajar terjejas pembelajaran akibat masalah akses internet sepanjang pandemik ini. Dengan pemasangan teknologi satelit ini, pelajar dan guru boleh menggunakan keperluan ini bagi menjadi pusat pendidikan dalam menangani masalah Pembelajaran dan Pengajaran di Rumah (PdPR)", katanya selepas meninjau penggunaan internet SK Lawang di Kampung Lawang di sini hari ini.

Beliau turut mengucapkan terima kasih kepada kedua-dua syarikat Serba Dinamik dan syarikat Mosyawa kerana mengambil inisiatif tersebut melaksanakan program khidmat masyarakat internet bagi merapatkan jurang digital di luar bandar dan kampung.

"Dengan semangat muhasabah syarikat Serba Dinamik dan syarikat Mosyawa, insyaAllah bermula minggu depan, seramai 340 pelajar dan 60 guru di sekolah ini boleh menikmati pembelajaran mereka dirumah dan mengajar secara sempurna", katanya.

Sementara itu, Naib Presiden Kumpulan Sumber Manusia dan Hal-Ehwal Umum Serba Dinamik, Syaiful Radzman Osman, berkata teknologi satelit yang diusahakan sendiri oleh syarikat tempatan ini adalah antara usaha dorongan sosial dan ekonomi bagi memastikan masyarakat kekal relevan dengan dunia luar.

"Kita berpuas hati hari ini dengan pemasangan capian internet di kawasan Jeli kerana ia telah memudahkan proses pembelajaran online (PDPR) dan turut membantu ekonomi penduduk setempat melalui e-dagang", katanya

Beliau yang juga Pengerusi Serba Care team juga menerangkan projek pemasangan capian internet akan diperluaskan ke negeri lain termasuk Perak, Johor dan Melaka.

Pengerusi Serba Care team turut menjelaskan dengan permintaan penduduk Kelantan untuk menambah lagi teknologi satelit internet di negeri itu, beliau akan mengemukakan cadangan itu kepada pihak pengurusan syarikat.
