Hibiscus claims US$35m compensation from Lime Petroleum

PETALING JAYA: Hibiscus Petroleum Bhd's unit Gulf Hibiscus Ltd (GHL) has claimed compensation of US$35 million and above for financial losses suffered by GHL following the restructuring undertaken by Lime Petroleum Norway AS (Lime Norway).

It informed the stock exchange yesterday that it filed a complaint to claim compensation to the Oslo Conciliation Board on April 1, 2016 against two directors and a general manager of Lime Norway.

The complaint was made against Lime Norway directors Hans Ove Leonard Lidgren and Svein Helge Kjellesvik and general manager Ivar Aarseth.

"The above complaint against the Lime Norway directors and Lime Norway general manager falls within the scope of the Norwegian Companies Act, Section 17-1 as those individuals are among the primary perpetrators who contributed to the damages suffered by GHL as a result of the defendants' failure to fulfil their general duty as directors and general manager of Lime Norway, particularly with regard to their conduct in relation to the actions taken to effect a substantial dilution of Lime Plc's shareholding interest in Lime Norway under the restructuring undertaken by Lime Norway," Hibiscus said on Monday.

Anasuria profit=4000(barrel of oil production per day) X 365 X 10 (USD 40(oil price)-30(prod cost)) X 4.03(USD ex rate)
= 58.838 million a year
PE(20 sen)=220.558/58.838
=3.83 times.

18 PROSPECTS OF THE GROUP
The oil and gas industry is currently facing one of the most challenging and volatile periods in recent history. With current, mid-term oil price projections being lower than previously anticipated and over-supply dominating demand/supply projections, investment in exploration and development activities are generally being cut back. The conditional sale and purchase agreements and other agreements relating to this transaction were executed on 6 August 2015. On 4 February 2016, shareholders of Hibiscus Petroleum voted in favour of this transaction and in mid-February 2016, we were extremely pleased to disclose that the Secretary of State had also given its conditional approval for Anasuria Hibiscus to be assigned 50% interest in this producing cluster of fields.

We are now working towards the legal and operational completion of this transaction. We anticipate this to take place in the near future thereby giving Hibiscus Petroleum a stable revenue base and profits at current oil price levels.

A significant share of oil from producers are already profitable with oil prices at 16-18 dollars per barrel (onshore production!). A much greater part is profitable with oil prices in the range of $25-30 per barrel. That's why it will stay at $30 per barrel for more years to come! According its 2014/2015 annual report, the economic interest derived from Anasuria deal will be back-dated to Jan 1, 2015 and the acquisition of the cluster is expected to be completed only in the first quarter of 2016.

For the first quarter ended Sept 30, Hibiscus posted a pre-tax profit of RM4.76mil compared with a pre-tax loss of RM9.97mil previously.

On the acquisition of Australia’s Hydra Energy Holdings Pty Ltd, Zainul said the deal was important as it brought in potential financial backing from global natural resource investment, which would help in securing financing for projects.

He said the recent acquisition of a 8.4% stake in Hibiscus by UK-listed Polo Resources Ltd was expected to provide assistance to lure in more potential investors in the oil and gas sector.

Polo Resources has interests in oil and gas, gold, coal, iron ore, copper and phosphate.

Its revenue stood at RM245,000 compared with RM2.17mil a year ago.

After considering the production cost, the company's outlook remains attractive, its Chairman, Zainul Rahim Mohd Zain told reporters after the company's Annual General Meeting here, today.

However, he cautioned that it might have to review the activities within the Anasuria cluster, if oil prices were to drop to US$30 per barrel.

"As for the West SeaHorse Field, we will look back on the activities by our Australia's assets if the oil prices were to drop below US$40 per barrel."

The integration of these two assets into Hibiscus' will be the primary objective as the two oilfields have a near term cash flow, he said.

(The Brent Crude Oil is hovering at around US$40 per barrel, while the US benchmark West Taxes Intermediate is moving at around US$37 per barrel.)

On the acquisition of Australia's Hydra Energy Holdings Pty Ltd, Zainul said the deal was important as it brought in potential financial backing from global natural resource investment, which would help in securing financing for projects.

Truthseeker are you telling lies. US 52/barrel cost is for Shell(with high overhead expenses) hence they cannot stand and need to sell to Hibiscus whose overhead expenses is only US 25/barrel.

Ok ok I BELIEVE YOU!

Say USD25 is cost (we all know cost in UK and NORTH SEA is USD52 per barrel). Now we do maths ok.

1. Say today price is USD35 per barrel
2. Say profit is USD10 per barrel,
3. Production 3,500 barrels per day
4. Profits per month = 3,500 x 30 x 10 = USD1,050,000

Now: What is their overheads in HIBISCUS?

Monthly expenses
1. Overheads in KL Office (including big fat cheque to MD Ken alone of RM195,000 per month) is a whooping USD2 million
2. Overseas expenses - USD2 million

So - negative USD3 million per month just on cashflow.

How to pay :

1. USD52 million for the purchase?
