Folk, the short-term impact of private placement on share price is that share dilution often results in a decrease in share price, particularly in the near future.
While the long-term impact on share price is not as certain and is influenced by how well the company utilizes the additional capital raised from the private placement.
However, the motivation for raising additional funds may be an outstanding opportunity for rapid growth as the private placement can help the company make the most of it and as a result, the eventual extra profits realized from the company's expansion may push its stock price substantially higher, folk.

Folk, what Are the Characteristics of Weak Hands?
i). Lack of Experience
This lack of experience can result in impulsive decisions driven by emotions rather than logic, causing inexperienced investors to panic and sell during market downturns. Consequently, their risk assessment is skewed, and they may overlook potential long-term gains in favor of short-term gains or losses.
ii). High Risk Aversion
Investors with weak hands tend to have a high risk aversion, making them susceptible to emotional decisions driven by fear rather than rational behavior. Consequently, these investors often miss out on potential growth opportunities as they prioritize capital preservation over capital appreciation. The fear of losing money also tends to magnify their emotional responses to market volatility, causing them to panic sell during downturns and potentially miss out on the subsequent recovery periods.
iii). Short-term Thinking
Weak hands often focus on short-term gains or losses, overlooking long-term investment strategies and risk management practices. By constantly reacting to short-term market movements, individuals may miss out on lucrative opportunities that require patience and a strategic long-term outlook. It is essential for investors to resist the temptation of quick wins and instead focus on aligning their investment decisions with their long-term financial goals to achieve sustainable and consistent growth over time.
iv). Emotional Decision Making
Emotional decision-making is a common trait among weak hands, leading to impulsive actions such as panic selling during market downturns. When emotions take control, individuals may overlook their long-term investment goals and react to short-term fluctuations. Consequently, panic selling can lead to significant losses and missed opportunities for potential gains. Understanding the impact of emotions on investment decisions is crucial for investors to adopt a disciplined approach and avoid falling prey to market volatility.

Folk, why Do Weak Hands Matter?
Weak hands are placing bets rather than investing. They tend to be easily spooked by price changes, and they often tend to buy at the peak and sell at the trough.
These investors lack the conviction to withstand market volatility and are easily swayed by fear and uncertainty. For example, during a minor market dip, weak hands may hastily sell off their holdings out of panic instead of holding steady. This knee-jerk reaction can lead to missing out on potential long-term gains that could have been realized if they had maintained composure.

When a market maker is trying to fill a large fund buy order, sometimes they may not have enough shares.
They start to gradually drop the share price in order to “scare” people into thinking the company has a problem.
Weak holders will sell up, and the market maker continues to drop the price until enough weak holders have relinquished their shares.
The market maker then fulfils its large order and returns the share price to where it started.
Be eagle-eyed for all news relating to companies you hold shares in, and you’ll be better able to spot tree shakes and not get caught out.

People with weak hands vs. strong hands when the tree is shaken.
Investors with weak hands tend to be impulsive and fearful, while those with strong hands have greater financial stability and a long-term perspective on market fluctuations.
Strong hands often maintain conviction in their investment strategies and are less prone to reactive market behaviors.
Big traders and dealers often capitalize on weak hands’ predictable behavior and they strategically buy when weak hands sell, exploiting their reactions to drive market movements.
Strong hands traders are better capitalized, less emotional, and more focused on long-term trends. They often trade large positions and do not rely on precise short-term levels.
Weak hands are placing bets rather than investing and they tend to be easily spooked by price changes.

Investing in the stock market can be a great way to grow your wealth, but it can also be a risky business. One of the biggest risks investors face is market manipulation.
This is when someone tries to artificially influence the price of a stock in order to make a profit.
Since market manipulators often profit from day-to-day stock movements, investors with long-term portfolios, who don’t engage in market timing, are largely insulated from the impact of market manipulators’ schemes.

1). What is a Market Maker?
A market maker or liquidity provider is a financial institution or individual trader that quotes both a buy and a sell price in a tradable asset held in inventory, hoping to make a profit on the difference, which is called the bid–ask spread or turn.
When a buyer's bid price meets a seller's offer price or vice versa, the stock exchange's matching system decides that a deal has been executed. In such a system, there may be no designated or official market makers, but market makers nevertheless exist.
Market makers make a profit from the bid-ask spread and the difference between these two prices represents the market maker’s profit.
2). Market Makers Manipulation
While their primary role is to match buy and sell orders and maintain a fair and orderly market, there have been concerns and allegations of market manipulation involving Market Makers.
It’s important to note that not all Market Makers engage in manipulative practices, and most of them operate with integrity.

Tree Shakes – if you hold shares in a company and the price starts to drift downwards, you need to check two things.
Firstly check the date and make sure it is not ex-dividend day – your share price will drop by the same amount as the dividend, and this is fine.
Secondly, scour the news for reasons why the share price might be dropping.
If you can’t find any good reason, then the chances are that you are witnessing a “tree shake”.

How do SPV benefit LPs?
Greater access to investmen: SPVs allow individuals to pool their capital and invest smaller amounts.
Direct investments typically have higher minimum investment amounts.
Better options: LPs often choose funds based on the GP managing it and the investment thesis governing the fund, but don’t have any say on what investments are made by the GP.
SPV let every individual know what each investment is – which means no LP has to be a part of an investment they aren’t interested in.

So folk, if you’re the Executive Chairman of Azio considering raising money via a private placement, first make sure you have a solid business plan that provides a strong case on why institutions would want to invest in your business:
1. What is it about your company that is unique and sets you apart from the competition?
2. How will you grow profits consistently over the long term, year in and year out?
3. Have you and your partners invested your own money in the company? In other words, do you have some “skin in the game”?
4. Do they have experience in growing similar businesses in your industry and providing a solid return for owners and investors?
5. What about your industry? Is it on the rise (think social media or green technologies) or in decline, such as travel agents and film manufacturers, which have virtually been replaced by the Internet and digital technologies?
6. As RE capacity is set to continue its upward trajectory over the next five years, what is your future action plan? Can you find enough land for your project? Do you have the resources?
7. Do you have good rapport with shareholders, government regulators, business partners, suppliers, and customers?
There you go folk!

There are several advantages to using private placements to raise finance for business. They:
• allow Azio to choose their own investors – this increases the chances of Azio having freindly investors with similar objectives and means investors may be able to provide business advice and assistance, as well as funding.
• allow Azio to make a return on the investment over a longer time period as private placement investors will be prepared to be more patient than other investors, such as venture capitalists.
Folk, a business obtaining investment through private placement is also not required to give up a seat on the board of directors or a management position to the group of selected investors.
Instead, control over business operations and financial management remains with the owner.
1 month ago | Report Abuse
Folk, issuing private placement isn't always that bad too.
When a company issues new stock, it is usually in a positive light, to raise money for expansion or investment capital to fund large projects and new ventures.
The bottom line, the motivation for raising additional funds may be an outstanding opportunity for rapid growth.
The private placement can help the company make the most of it.
As a result, the eventual extra profits realized from the company's expansion may push its stock price substantially higher.
1 month ago | Report Abuse
Therefore folk, by issuing additional stock for sale, shareholders' ownership in the company is reduced, or diluted when these new shares are issued.
That may lead shareholders to believe their value in the company is decreasing.
But on the positive side, Abang with a large chunk of stock of +-15% and who is still actively acquiring more through the open market can often take advantage of shareholders that own a diluted smaller portion of the company after the private placement.
1 month ago | Report Abuse
Folk, share dilution happens when a company issues additional stock for sale to few selected individuals or corporate entity, or to a small group of chosen investors to raise funding, relatively quickly and easily, the capital needed to grow and advance their businesses.
Chosen or selected investors typically involved in private placement issues are either institutional investors, such as banks and pension funds, or high-net-worth individuals such as close personal friends of a director.

Accredited investors include:
Financial institutions

I do believe the private placement will to go the right friendly investors & Abg would also increase his stakes in due time.
