The Board of Directors of Perisai Petroleum Teknologi Bhd (“Perisai” or the “Company”) wishes to announce that the Company is in discussion with a Financial Institution to secure adequate financing that may allow Perisai to negotiate a mutually acceptable debt restructuring with its creditors, notably the Noteholders. These discussions with the Financial Institution are with input from legal and other advisors both in Singapore and Malaysia, it is hoped an appropriate proposal may be advanced as soon as possible.

Perisai has set a meeting for Oct 3 - the maturity date - where it will need to obtain a 75 per cent approval from bond holders for its debt obligations to be successfully deferred. However, its bond holders representing about 32 per cent of the outstanding bond issue, on Sept 11 filed an acceleration notice with the trustee of the firm, sources said.

This means Perisai will have to offer new terms to its note holders, or be forced to redeem the bonds with immediate effect when the acceleration notice is eventually served.

The Company wishes to inform that it will commence discussions and engage with the holders of the Notes with regard to the upcoming maturity of the Notes on 3 October 2016.

Perisai has a bond maturing this October. They have to refinance this bond or the share price will never go up.
