电脑维护管理系统（CMMS）公司胜安（ORION,0079,创业板科技组）上周卷入一宗诉讼案件，起诉人Chakravetty声称胜安违反协议，而要向胜安索回脱售ASAP公司所作出的其中1021万4646令吉盈利担保款项。

Chakravetty除了状告索偿，亦要求胜安必交还ASAP公司的控制权。

2016年，胜安以7300万令吉收购ASAP公司，而Chakravetty是ASAP的3名股东之一。

分析员认为，此诉讼毫无疑问是意外的负面消息，可能对该股短期不利。但不至于带来财务伤害，因胜安已将1500万令吉的盈利担保款项存在该公司的信托户头中。

胜安收购ASAP时，卖主提供了未来2年不少于1500万令吉的盈利保证，而胜安则在7300万令吉的交易价中，先行将其中1500万令吉存放在胜安的信托户头，以确保ASAP达致盈利担保。

自2017年8月完成收购以来，ASAP只为胜安贡献了230万令吉盈利，而ASAP需在今年8月达致1500万令吉盈利担保。目前看来要达到此盈利担保的挑战颇大。

胜安董事部寻求法律意见后，也认为该诉讼并不会对胜安的营运与财务造成影响。上述诉讼预期在今年5月23日处理。

分析员预料上述事件并不会对胜安的基本面造成冲击，因胜安与本地中小企业印尼金融业合作发展金融科技系统，仍有望带来更好的表现。分析员甚至认为，胜安在短期内若出现股价弱势，是累积该股的好时机。
