The Board of Directors of Bioalpha Holdings Berhad (“Bioalpha” or “the Company”) wishes to announce that Mediconstant Pharmacy Sdn Bhd (“MPSB” ), a wholly-owned subsidiary of the Company, had on 27 September 2017 entered into a Collaboration Agreement with Koperasi Polis Diraja Malaysia Berhad (“KPD”) (“MPSB” and “KPD” hereinafter are jointly referred to as the “Parties”) to collaborate in the promotion, sales and marketing of the Company’s products through MPSB’s pharmacy outlets and at the premise of Polis Diraja Malaysia.

The Collaboration Agreement shall commence on the date of execution and shall remain in force for a period of one (1) year. Each party may terminate the Collaboration Agreement by providing thirty (30) days notice in advance to the other party.

The Collaboration Agreement is not expected to have any material effects on the share capital and shareholding structure of the Company and not expected to have any impact to the earnings per share and net assets per share of the Group.

None of the Directors’ and major shareholders of Bioalpha and/or person connected to them has any interest, direct or indirect in the Collaboration Agreement.

The Collaboration Agreement being incurred in the ordinary course of business, is not subject to the approval of shareholders of the Company.

The Board of Directors of the Company, having taken into consideration all aspects of the Collaboration Agreement is of the opinion that the Collaboration Agreement is in the best interest of the Group.

SHARES in AbleGroup Bhd (valuation: 0.9/3, fundamental: 0.8/3), which triggered our momentum algorithm for the second time this year, closed unchanged at 14 sen last Friday, with a market capitalisation of RM36.95 million.

The counter saw some 19.53 million shares traded, over nine times its 200-day average volume of 2.07 million shares.

Last Thursday, Parallel Pinnacle Sdn Bhd, the private vehicle of AbleGroup’s managing director Datuk Lim Kim Huat, made a conditional mandatory takeover offer for the company’s shares at 13 sen a share.

Parallel and persons acting in concert, who collectively hold a 43.97% stake in AbleGroup, intend to maintain the listing status of the company, which has been loss-making in the financial year ended Dec 31, 2015 (FY15) and FY16.

AbleGroup made RM248,000 in the second quarter ended June 30, 2017 (2QFY17) from RM3.51 million in revenue, thanks to the completion of three building material projects in 2Q. Subsequently, its net loss in the first half of 2017 (1HFY17) narrowed to RM62,000, from RM405,000 previously, despite revenue declining 8.5% to RM5.02 million, from RM5.49 million in 1HFY16.
