One impact is that Bizurai as a result of ceasing to be a substantial shareholder, need not per se disclose it's dealing.
But I think despite this, any dealings by Bizurai would still require TVT's disclosure since it would impact his holdings as a substantial shareholder.

At the recent AGM, the chairman was impatient & was trying to bulldoze the accounts deliberation. That's not right as shareholders only has a once a year opportunity to grill the board.

Shareholders are concerned over several issues including the declining share price & dividends. The fact that the investment was written down soon after acquisition which smells a rat.

MSWG raised the issue that one of the directors did not attend 3 out of 5 board meets and was not present at the AGM was seeking re-election. A few of us was put our hands up opposing to his re-election. However there were several old folks who were just pleased to be treated nicely in a pleasant surrounding, with an umbrella as a door gift and a spread of food who blindly like zombies supported his re-election. MSWG also noted that there was a director who did not attend the past 2 AGMs as well as the current. It gives me the impression that their presence in the company was merely to carry the title "director", collect fees and eat popiah at meetings. I hope that the parent company notices these red flags & do something about it.

I'm worried about the property sector of the business

I was doing a mental calculation of the cost of the AGM - a rather sumptuous meal washed down with a good quality apple and a bottle of mineral water plus a RM100 prepaid card. Multiply it by say 1500 and add with hall rental, the cost can easily hit RM250k!

Sometimes such deals are used to push up prices.

It's supposed to be the best quarter because of CNY.

Q2 runs from Aug - Oct. I believe it's still May.

Let us all in this chat start off by changing our network to Digi. This mass show of support is far more beneficial to us shareholder than some little exchangeable gift points.

The reality is that the service is so highly commoditised and competitive that these mobile networks do not have much room to manoeuvre without significantly affecting their bottomlines. If we en masse subscribe to Digi, it'll go a long way to help wipe out the competitors.

So looks like EPF will make a neat profit by shorting large chunks with the onset of negative news and now scooping them up again.

I think it's just a spike as I'm not optimistic that such performance can be sustained.

I thought my profit was handsome but yours looks fatter. Mine was averaged at 4.53. I've sold most & shifted to other shares.

My gut feeling is that this March 2016 quarter is going to be disastrous hence the share price tanking.

i must thank Aji a lot as it's the most I've ever made from any counter.

In the past I've had many near misses e.g. United Plantation, Carlesberg, Dutch Lady & Digi where I sold just before they made a vertical take-off.

Agreed Feng that there's a fair bit of leasehold property - maybe there's pros & cons. But I really am of the opinion that the directors' remuneration in comparison against dividends is egregiously unfair. Thinking about expansion plans when it comes to dividends but the thought escaped their minds when rewarding themselves.

For comparison, the ratio of Dividends to Director Rem for Sports Toto was 316m : 33m whilst Public Bank 2124m : 64m

The tactic adopted to speed up the AGM is to make the members suffer from thirst & hunger (as no refreshments were served before the AGM) which will ensure that they will avoid long & difficult debates - Truly a capable bunch !!

Some points raised at the AGM today which I feel all in this chat should be aware of :

1) Dividends shared among 4312 shareholders (Pg 119 Ann Rept) at 2 sen = RM8.9m. Remuneration shared among 8 directors = RM13.2m (Pg 68 Ann Rept) !!

2) Total cash = RM181m & Retained Earnings RM1.145b. Why cannot pay dividends? Supposedly need cash to expand overseas.

3) Highlighted that revaluation was not done. Why? The CFO gave a somewhat cock-and-bull story. I wanted to counter but the chairman was by then trying to rush through. My comments to each remark is within brackets.

- that if a revaluation is indeed carried out, the depreciation charge would increase and "make KJ less competitive" - (Yes depreciation charge will rise but not as much since most of the increase in value would come from the land for which there's no depreciation and not the structure. As to "less competitive" - I'm puzzled as to how)

- Revaluation fees are expensive, about RM300k (peanuts by KJ size)

- Once Revaluation exercise is chosen, it must be done every 5 years. There's no back-tracking to the cost model with revaluation. (ok agreed but get it done)

- CFO asked the attendees as to whether they will accept a drop in value if revaluation is done in the future. (First of all, property prices normally increase. Even if in the rare occasion the value drops,it will not affect the all-important Retained Earnings from which dividends are paid. It will only reduce the Revaluation Reserves)

From the forgoing, there's a speculation that this management may harbor intentions to asset-strip the company i.e. buy up all the loose shares for cheap, then make an offer. Once taken over sell the various precious properties.

Subject to the business progressing as well as in the past, I suspect that the price should now trend upwards. There's no incentive by a corporate raider to stifle the price so that it can buy the co for cheap.
