Based on last annual report, Mayland has another 100,371,000 LA not converted.
If this lot is converted NOW, it will bring Mayland's holding in L&G to slightly over 33%.

I always think that there is something no quite right to this counter.

Its WA and LA serve exactly the same "function".
LA is in the money and WA is way out of the money, but yet WA is double the price of LA.

It is a clear case that these counters are cornered and controlled.

Hi All,

Just called Bina Mgt about the new rights shares to be traded from tomorrow.

The new shares do entitled to the 1.5 cts dividend that has been declared !!!
There will be no A-shares.

This answered why the OR was holding on very well towards the last day of trading.
I would have bough some OR if this was stated correctly in the prospectus.

I could only say that the "standard" of the prospectus was poor.
It could be a case of copy-&-paste from others without knowing the implications.

The original cost of Iretex-LA is only 0.055, after deducting the sale of the attached WA.

So, the major shareholders and controlling parties would still profit at 6 SEN.

If you have Iretex-WA, sell them QUICKLY sell all and buy similar number of Iretex-CA.

You therefore pocket the excess money and the "value and potential" of your holding do not change.

I just took a quick browse on the Bones*** write-up.
I also remembered (some what) reading the company report last year.

Points mentioned in the Bones** write-up are all valid. There are all good points about Lonbisc.
What is not mention, I think, is the high-level of loan/debt, which needs to be mentioned.

Hi,

Well, cash of RM 100m is a big deal, surely.

However, there are many other parameters we have to look at,
e.g. no.of shares on issued; other current and long term assets; business model & prospect; earning power, and last but not least, its net book value.

L&G has 180m net cash and has less than 700M shares issued.

NTA of L&G is 70+ cts
NTA of SKPRes is only 20+ cts.

SKPRes relies heavily on one single key customer and I am not sure if it is good.

Just read the prospectus of the rights issue.
The new rights shares would not be entitled to the 1.5 cts dividend that has been declared. So, it would be an A-shares !!!
Also, to subscribe to future shares with the warrants, it has to be done before any entitlement is declared, otherwise the new shares would not get the "declared" entitlements !!!

Please correct me if I am wrong.

Looking at the trading board and trading activities, my guess is that this counter has been cornered. It could be played up and play down easily to facilitate the movement of its LA and WA.
Got to be very alert to trade these three counters.

I may be wrong, correct me please: TM is now the major shareholder (70% ??) of p1 and there is an option for TM to buy the remaining p1 from GP.

If this is so, GP does not own p1 at all .

So, talk so much about p1 and 4G, it is good for TM and not GP.

One key point that has not been mentioned:-

When the mother share pay dividend(s) before the maturity date, the mother share's price will be adjusted the conversion price of CW is not and will not be adjusted.

Also, longer maturity date could be a disadvantage for the holders of CW.

That is why issuers/underwriters always pick on companies that give regular dividends to issue CW, and the maturity dates would most likely after the ex date of dividend payment.

The new share holding ratio of P1 is:

TM = 57%
GP = 30%
SKT = 13%

TM is also loaning 210mil to GP at 8% interest. This is an "exchangeable bond" and not sure what it is to be exchange with? (May be would further dilute P1 holding of GP).

Anyway, talk so much about P1 here but GP is holding 30% or less.

There are a numbers of parameters to look at in order to compare which is better:

1) LA is giving interest of 1% (or 0.26 cts) per unit per annual. 1st payment in Sep 2014.
2) The mother shares has not been giving dividend for some time. if they do decide to give dividend soon, then mother shares would be better.
3) If there is any corporate exercise like bonus or rights issue, LA holders need to prepare to cough out more money to convert or otherwise "forced" to sell.

Looking forward, P1 seems to have good potential.
But how much is it left for GP ?
TM and SK are two major shareholders of P1.
TM also has bond for conversion to increase its P1 % further.
There would nothing much for GP.

P1 has no (sizeable) customer base.

The only valuable item is its bandwidth licence, but existing telco already have it.
It would just be an add-on to existing telco.

Also, telecom authority could simply issue new bandwide/ licence for extra revenue to Government,
and who knows, there would be "side-kicks" along the administrative levels.

So, why would any of the existing telco wants to buy P1 ???

This is definitely a very good and profit making company.
But to expect its share price to double from here would be very optimistic.

Don't forget that its share price was 60cts, 15 months ago.
It has gone up more than 4-folds.

I can't help but to say a "very good luck" to those who ventured into GP-WA.

210 more days to go, exercise at 95 cts.
At current price of 14 cts, mother share must go up to 1.10 just to break even.

If you think the mother can reach 1.10, safer to buy the mother shares,
otherwise, it is a case of completely down the drain.

Well, you may say that there are trading opportunities in between, there is always a last person to hold it. And you may well be that last person ...

I had a bad experience with a similar share: Total Control, later rename to Maveric.

The process was:

1) Initially, return only 50% of the cash to shareholders.

2) They hold on to reminding 50% for about 3 years saying that they are looking for new business.
Maveric continued to pay Salaries, Rentals, Fees and Professional Service Charges for 3 years.
Nothing materialise in 3+ years and easily 5% to 10% of the money was paid out.

3) After 3 years, return another 30% or so to share holders.
The rest of about 10% to 15% was used to form a new company and shareholders were given a scrip telling him how many new shares he has. I did not see any company report or updates, since.

I have LTIG (now known as Brooke Asia) for many years as it owned two very profitable companies in Vietnam. But it share price never moved.

When LTH proposed the "exchange and exit" exercise in early 2013, I immediately bought LTH at RM 80 cts then.

If the exercise could go thru, it would be very good for LTH,
but I was doubtful that it would be silly for SGX to approve such thing.
But, it went thru ...

My concluded view on this exercise is that :- SGX is simply silly.

LTIG turned from a very good company to an empty shell.

Congratulations to LTH and it management team and sorry to those who invested in LTIG.

I am OK as I am still holding on to those RM 80 cts shares.

Personally, I wouldn't want to invest in this counter, for a simple reason:

The upside is un-certain & not much, but the downside is huge.

I would rather invest in counters that have strong fundamentals with equally good potential of upside. Reason is simple too: If the share price does not move up, it is always safe to hold as investment.

However, selective individual developers/companies, esp low or zero gearing, like L&G, are still very "solid" in the current market.

I asked around: how may true-blue locals can afford and who are the buyers, the estimates is:

1) True-blue locals, 5%
2) Locals but working overseas, including Singapore: 25%
3) Foreigners, 35%
4) Developers and owners hold as "investment", 35%

When money policy is tighten, interest rates goes up and banks start to re-call, the scene will be very ugly.

I stay in JB. The pace of property development here is too fast and too much to many's liking. The city is expanding in a semi-circle manner, i.e. the more it expands, the bigger its covered area is.
Definitely a bubble, at least in JB.
