but, u never know whether Ananda K will buy more shares or announce privatisation before Q3 results are announced... a lot of possibilities, with the current price level, maybe, he would find a strategic partner to take astro private again... because he likes to privatise and relist..e.g. maxis, astro. :)

PETALING JAYA: A merger between Maxis Bhd and Astro Malaysia Holdings Bhd is a rational option in view of intense market competition, according to AmInvestment Bank.

Should it materialise, it would create a merged entity with a market capitalisation of RM53 billion against RM44 billion for Maxis. The combined net profit meanwhile, stands at RM2.6 billion.

A local daily reported that tycoon T. Ananda Krishnan is contemplating consolidation of Maxis and Astro in line with the global trend of amalgamation of content and connection providers.

Astro has been in the news recently with the resignation of current CEO Datuk Rohana Rozhan, to take effect on Jan 31, 2019 and prior to that, a resurgence of news that Ananda is moving to privatise the group which was re-listed in 2012 after taking a break from the stock exchange in 2010.

In a research note today, AmInvestment Bank said it expects merger synergies to come from the convergence of Maxis and Astro’s services.

“For example, Maxis mobile and Home Fibre plans could be repackaged with Astro IPTV offerings, which could also be streamed to mobile devices.”

The research house opined the merger would be merely a rear guard manoeuvre to prevent revenue erosion from declining average revenue per user and subscriber attrition.

“As such, we maintain Maxis’ forecasts pending further official announcement.” It reiterated a “hold” call on Maxis with a fair value of RM5.76.

AmInvestment Bank said while Maxis currently endures increasingly competitive plans from rivals, over-the-top players like iflix and Netflix and other pay TV options such as unifi’s HyppTV have driven down Astro’s ARPU and erode its subscription base, and consequently, advertising revenues.

In Q1 FY18, Maxis’ postpaid ARPU fell RM4/month to RM92/month with active postpaid base declining 59,000 to 2.9 million.

Maxis is also planning to arrest the declining prepaid base and improve its blended ARPU of RM51/month with the new Hotlink plans.

However, the research house sees a likelihood of an acceleration of prepaid migration to the new more affordable flexi plans due to their similar price points with the group’s prepaid ARPU of RM35/month currently.

Maxis shares closed 8 sen or 1.4% lower at RM5.57 today, while Astro gained 7 sen or 4.4% to RM1.67.

Ananda, who tends to read the trend well ahead of others especially in the area of technology, sees increasing competition for both Astro and Maxis.

“As for Astro, it is facing competition from multiple fronts. Illegal satellite dishes are being installed to tap into the services of other pay-TV operators located in other countries. Astro is also facing competition from over-the-top (OTT) service providers offering specialised content at lower rates,” said the source.

Among the OTTs are Netflix, which features largely western movies and dimsum that concentrates on oriental contents from South Korea to Thailand.

An analyst said he would not be surprised if Ananda uses Maxis to takeover Astro.

“It is similar in the United States where traditional telecommunication companies are buying entertainment companies. Corporate exercises between telco and entertainment companies have received the nod from the US legal system last week,” said an analyst.

The US court gave the green-light for telecommunications giant AT&T to take over Time Warner – a deal that is valued at US$80bil (RM240bil).

The 21st Century Fox, which is owned by Rupert Murdoch, is another media entertainment company being eyed by two suitors. They are cable and media company Comcast and Walt Disney, which is also a giant media company.

CBS Corp and Viacom, two companies owned by Sumner Redstone, are looking at a re-merger after a split 13 years ago.

The split was done to help enhance value of Viacom, a company that creates content for the media industry. As for CBS, it is giant media company providing services from cable network to owning publishing houses.

Astro was reported to be a subject of privatisation by Ananda two weeks ago. However the company denied that it had been informed of such developments by its major shareholder.

Astro’s share price took a beating due to lower earnings and it was losing its position as the sole broadcaster of the World Cup.

In addition, we also note that the single largest shareholder (T. Ananda Krishnan) has been accumulating Astro’s shares in the market of late (Total shares bought since June 2018: 14.2m). Based on our technical idea (dated 21st October 2018), Astro is potentially forming a double bottom chart pattern. We anticipate a continuous improvement in both momentum and trend in near term that may lead price higher to subsequent resistance level of RM1.53.

Since the announcement of a weak 2QFY19 result, Astro’s share price slumped 18.1%. For the coming quarter, we expect an earnings recovery due to normalisation of content cost and adex post-World Cup and tax holiday. At current level, we think that the market has already priced-in the negative factors concerning the Group’s prospects. We reiterate our Outperform call on Astro as we believe the selling pressure is overdone while dividend yield remains attractive at c.7% pa. In addition, its valuation appears to be undemanding (currently trades at only 10.8x PE to FY20F EPS of 12.5 sen, more than 2SD below its 5-year historical average). Another potential catalyst would be the possible merger and/or privatisation by its major shareholder. We maintain our earnings estimates and DCF based TP of RM2.00.

Hi LuckyG :) yes just started to buy Astro after few months monitoring. i shifted to dividend stocks due highly yo-yo market...slowly accumulating few dividend stocks and buying ASNB Fixed price fund..exited from all warrant and short term trading..

Convergence the best option. With the digital revolution disrupting the media industry and the telecommunications sector also facing challenges in growing their traditional mobile business in a saturated market, we believe a marriage between Astro and Maxis would benefit both parties, made all the more possible with T.Ananda Krishnan being the single largest shareholder of Maxis (62.4%) and Astro (24.0%). Merging Maxis’ wireless and broadband networks with Astro’s content offering capabilities and pay TV business would create convergence and thus, synergies to the enlarged entity. In order to remain relevant in the fast changing telecommunication and internet industry, convergence has become a core strategy for operators in developed markets. We believe Malaysian operators will also be heading in the similar direction.
