KUALA LUMPUR: Mobile communication firm XOX Bhd has proposed to acquire a 29.4% stake in sports apparel maker Cheetah Holdings Bhd for RM44.6mil cash.

The deal valued Cheetah at RM1.32 a share, XOX said in a filing with Bursa Malaysia yesterday.

Shares in Cheetah were last traded at 90.5 sen.

XOX said its board of directors have deliberated on the opportunity and found that the acquisition to be “sound” based on several factors, including Cheetah being a long standing brand in the market with dominance over the youths and lower income segment.

The deal “provides co-branding awareness and product bundling synergy with XOX products and services, via its E-Commerce Marketplace and E-Sports ventures, ” it said.

“It is XOX’s intention to focus on this segment as the highest spending segment per capita of online purchases, ” it added.

KUALA LUMPUR: XOX Technology Bhd has proposed to undertake a capital reduction exercise by cancelling a portion of its issued share capital unrepresented by assets of RM65 million.

In a filing with Bursa Malaysia today, the mobile services provider said the corresponding credit of RM65 million from the exercise will be used to set-off against the company’s accumulated losses, while the remaining balance, if any, will be credited to its retained earnings.

As at Dec 28, 2022, its total issued share capital is RM82.05 million comprising 896.18 million ordinary shares of which 2.56 million XOX shares are held as treasury shares by the company, it noted.

The group said the proposed exercise will not result in its share price being adjusted, will not change the total number of shares in issue, and will not involve any shareholder payments. it will also not result in any cash outflow or change the group's net assets other than the estimated expenses to be incurred for the proposed exercise.

"Due to the accumulated losses, the share capital to be cancelled is substantially no longer represented by available assets of the company. As such, this will enable the company to eliminate its accumulated losses to reflect more accurately the value of its underlying assets and financial position,” the filing said.

The proposed capital reduction will also enhance XOX’s ability to declare and pay dividends out of its retained earnings in the future, as and when appropriate, when it returns to profitability, the filing said.

An extraordinary general meeting will be convened to seek shareholders’ approval, or any other relevant parties. - Bernama

For the current reporting quarter, the Group recorded a 3% revenue increase quarter-on-quarter to RM68.63 million, mainly
due to our product strategy has responded to the increasing competition on the market, the accelerated push on targeted
campaign with new WAWA 18 plan in line with lagging recovery for B40 post-pandemic.
However, the reported earnings did not correspond to the better revenue recorded. This was mainly due to the impact of
the fair value changes in quoted share investment of RM20.85 million, resulting in a LBT of RM17.30 million and LBITDA of
RM12.82 million, compared to the previous quarter of a PBT of RM0.85 million and EBITDA of RM5.40 million.

CORPORATE EXERCISES
Renounceable Rights Issue of New Irredeemable Convertible Preference Shares (“ICPS”) with Free Detachable
Warrants B 2020/2023
On 12 March 2020, the Company issued and allotted 1,061,027,506 new ICPS of RM26,525,688 at an issue price of RM0.025 per
share and 265,258,876 Warrant B 2020/2023.
During the FYE 2021, a total number of 8,442,400 ICPS was converted into 8,442,400 ordinary shares at a conversion ratio of 1
ICPS for 1 new ordinary share, raising total funds of RM211,060.00; and the ICPS of the Company decreased from RM2,160,345
as of 30 September 2020 to RM1,949,285 as of 30 September 2021.
In addition, 80,000 new ordinary shares at an issue price of RM0.06 per share were issued pursuant to the exercise of Warrant
B 2020/2023.
Private Placement
On 15 December 2020, the Company completed a private placement exercise involving the issuance of 614,851,000 new shares
at the issue price ranging from RM0.095 to RM0.1119 per share, raising total proceeds of RM60.63 million for the fintech
business expansion plan.
The fintech business expansion plan comprises the development and commercialisation of:
i) a scalable digital marketplace integrated with e-Wallet for payment services, logistics infrastructure for shipping and
delivery of goods as well as comprehensive buyer/seller services which aims to provide a seamless shopping experience
for merchants and consumers (now known as XOX BLACK Market);
ii) provision of microfinancing services via a platform that is integrated with e-Wallet for individuals and small businesses
who lack access to conventional banking and related services; and
iii) integration and enhancement of the XOX e-Wallet with blockchain and e-KYC solutions to enable users of its digital wallet
to deposit, withdraw and exchange real currencies and digital assets as well as perform digital transactions.
Share Issuance Scheme (“SIS”)
During the FYE 2021, 246,241,000 SIS options were granted to eligible Directors and employees at prices between RM0.07 to
RM0.12 per share, whereas 243,197,600 SIS options were exercised at prices between RM0.07 to RM0.13.
The SIS had lapsed on 13 March 2021.
Employees' Share Option Scheme (“ESOS”)
An extraordinary general meeting held on 19 April 2021, the Company’s shareholders approved the establishment of ESOS of
not more than 30% of the issued and paid-up share capital of the Company at any point of time throughout the duration of the
scheme to the eligible Directors and employees of the Group.
From the effective date of implementation of the ESOS on 27 May 2021 to FYE 2021, 405,233,000 ESOS were granted to the

For telco, merger is the way to go


KUALA LUMPUR: Digi.com Bhd hari ini mengumumkan cadangan menukarkan namanya kepada CelcomDigi Bhd susulan kejayaan penggabungan dengan Celcom Axiata Bhd.

Syarikat itu dalam makluman kepada Bursa Malaysia berkata, cadangan penukaran nama adalah selaras dengan obligasi syarikat di bawah perjanjian pembelian saham bertarikh 21 Jun 2021, dengan Axiata Group Bhd berkaitan penggabungan dengan Celcom Axiata.

"Lembaga percaya cadangan penukaran nama itu akan memberikan syarikat identiti korporat baharu yang mencerminkan dengan lebih baik lagi syarikat sebagai entiti bergabung selepas penyelesaian penggabungan dengan Celcom pada 30 Nov, 2022.

"Cadangan nama 'CelcomDigi Bhd' diluluskan oleh Suruhanjaya Syarikat Malaysia (SSM) dan tempahan bagi kegunaan cadangan nama itu dilanjutkan sehingga ke 14 Mac 2023," katanya.

Syarikat itu berkata, cadangan penukaran nama tertakluk kepada kelulusan pemegang saham pada mesyuarat agung luar biasa yang akan diadakan pada tarikh yang akan diumumkan kelak.

"Sekiranya diluluskan, nama baharu itu akan mula digunakan daripada tarikh pengeluaran notis pendaftaran nama baharu terbabit oleh SSM kepada syarikat," katanya.
