On behalf of the Board of Directors of Tambun Indah Land Berhad (“Tambun Indah” or “the Company”), we are pleased to inform that at the 6thAnnual General Meeting of the Company duly held and convened on 20 June 2014, The following resolutions were carried:- By show of hands Ordinary Resolution 1 - To re-appoint Mr. Yeoh Chong Keat, who retires by rotation in accordance with Article 86 of the Company’s Articles of Association. Ordinary Resolution 2 - To re-appoint EncikTaufiq Ahmad @ Ahmad Mustapha Bin Ghazali, who retires by rotation in accordance with Article 86 of the Company’s Articles of Association. Ordinary Resolution 3 - To re-appoint Ms. Tsai Chia Ling, who retires in accordance with Article 93 of the Company’s Articles of Association. Ordinary Resolution 4 - To approve the payment of Directors’ Fees of not exceeding RM250,000.00 for the financial year ending 31 December 2014. Ordinary Resolution 5 - To approve the payment of a single tier final dividend of 4.6 sen per ordinary share for the financial year ended 31 December 2013. Ordinary Resolution 6 - To re-appoint Messrs. BDO as Auditors of the Company for the ensuing year and to authorise the Directors to fix their remuneration. Ordinary Resolution 7 - To approve the authority to Issue Shares pursuant to Section 132D of the Companies Act 1965. Ordinary Resolution 8 - To approve the authority for Directors to allot and issue new ordinary shares of RM0.50 each in Tambun Indah in relation to the Dividend Reinvestment Scheme. By poll Ordinary Resolution 9 - To approve the Grant of Options to Mr. Teh Deng Wei.
