Further to our announcements dated 18 January 2018, 19 December 2017, 21 August 2017, 10 August 2017, 15 February 2017, 1 December 2016, 30 November 2016, 2 September 2016, 25 August 2016, 22 July 2016, 13 May 2016, 3 March 2016, 2 February 2016, 28 August 2015, 3 October 2013 and 16 July 2013, pertaining to the litigation action taken by Comintel, a wholly-owned subsidiary of Comcorp against U Television Sdn Bhd & Tan Sri Dato’ Seri Vincent Tan Chee Yioun in Civil Application No.: 08(f)-449-09/2015, the Board of Directors of Comcorp wishes to announce that Federal Court had on 26 January 2018 dismissed Comintel’s motion to seek clarification to be given by the Federal Court on assessment of the value of the services and equipment supplied by Comintel to UTV in the High Court and interest awarded of eight per cent (8%) per annum, where each party is to bear its own costs. However, Federal Court clarified that interest of 8% per annum shall accrue from the date of the Federal Court’s Order i.e. 18 August 2017.

Consequence to the Federal Court’s Order dated 18 August 2017, Comintel will take steps to collect from UTV the equipment previously supplied to them.

Description FIRST ANNOUNCEMENT PURSUANT TO PRACTICE NOTE 17 OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD
Pursuant to Paragraph 8.03A(2) and Paragraph 4.0 of Practice Note 17 (“PN 17”) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”), the Board of Directors of Comintel Corporation Bhd (“Comcorp” or “the Company”) wishes to announce that Comcorp is an affected listed issuer (“PN 17 Company”) as it has triggered Paragraph 8.03A(2) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.

Comcorp, have on even date, announced the completion of the disposal of 100% equity interest in BCM Electronics Corporation Sdn Bhd, a wholly-owned subsidiary of Comcorp to Aurelius Holdings Sdn Bhd for a cash consideration of RM123.8 Million.

Hence, Comcorp is now regarded as a PN 17 Company.

The salient terms of the LOI are as follows

GWM will be appointed as the engineering procurement and construction contractor to supply, install and commission the GWM WtE System with a design capacity to treat six hundred (600) metric tons of MSW per day and generate approximate five mega watts (5MW) of electric energy. GWM undertakes to complete the said Project within twenty four (24) months from the date of the Contract should the Contract be awarded to GWM.

GWM will also be awarded a contract to operate and maintain the said Project under a separate contract after the commissioning of the said Project.

Rationale for the LOI

The LOI shall form the basis of consensus of the Parties to examine the feasibility of the Project until such time as the definitive agreement(s) is entered into by the Parties.

Contract Price of the Project

The contract price of the said Project is still being negotiated.

Effects of the LOI

The LOI is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders shareholding of the Company for the financial year ending 31 January 2018. Should the project materialize, it is expected to contribute positively to the future earnings of the Group.
