We refer to the earlier announcements on the Proposals.

On behalf of the Board, M&A Securities is pleased to announce that Inari International and Richard Ta-Chung Wang, a duly authorised representative of the Vendors had vide an exchange of letters agreed to amend Clause 4.2 (b) of the SPA. Details of the amendment are as follows:

Amended terms
As soon as practicable but no later than forty five (45) days after Completion, the Purchaser shall:

(i) procure the Reporting Accountant to carry out the Special Audit on Amertron Global Group and issue a statement (the “NTA Statement”) certifying the NTA of Amertron Global (on a consolidated basis) (the “Special Audit NTA”); and

(ii) deliver to the Vendors a copy of the NTA Statement.

As soon as practicable but no later than 9 September 2013, the Purchaser shall:



(i) procure the Reporting Accountant to carry out the Special Audit on Amertron Global Group and issue a statement (the “NTA Statement”) certifying the NTA of Amertron Global (on a consolidated basis) (the “Special Audit NTA”); and



(ii) deliver to the Vendors a copy of the NTA Statement.


Save for the above, there are no other changes to the terms and conditions of the SPA.
