The firm had a good run, until its external auditors flagged accounting issues that rocked the firm to the core

FOR the past few years, Serba Dinamik Holdings Bhd has built its name as a prominent global integrated engineering services provider with presence across SouthEast Asia, Central Asia, the Middle East, Europe, Africa and America.

As a homegrown oil and gas player, the group could be second only to Petroliam Nasional Bhd in terms of the global footprint.

Top and bottom lines have been growing at a cumulative annual growth rate of over 30% in the past five years and investors bought into the meteoric rise of Serba Dinamik.

The company had a good run, until its then external auditors, KPMG PLT, flagged accounting issues recently that rocked the company to the core.

“To a certain extent, I can say this is the biggest challenge the company has faced,” Serba Dinamik group MD and CEO Datuk Dr Mohd Abdul Karim Abdullah (picture) told The Malaysian Reserve recently.

Mohd Abdul Karim, who is also the co-founder and largest shareholder, said he came to know about the statutory audit matters at quite a late stage.

Time, indeed, is of the essence. In just days, after the news broke in late May, Serba Dinamik shares plunged nearly 50% and over RM3 billion in market value was wiped out.

The counter has been reduced to a penny stock closing at 38.5 sen last Friday versus RM1.61 on May 28.

Mohd Abdul Karim said the company had no abnormalities or difficulties with the external auditors in the past, but 2020 and 2021 have been unprecedented years.

“We have taken legal action to disentangle the differences in terms of opinion between the management and the external auditor”.

Mohd Abdul Karim said the group believes they have a valid case and a very high prospect of winning.

Share Price vs Fundamentals

Regardless, the Employees’ Provident Fund had ceased to be the substantial shareholder of the company after disposing of 96 million shares in the open market on June 25.

It followed the footsteps of the Retirement Fund Inc, which ceased being a substantial shareholder earlier last month after the audit issues became public.

Meanwhile, Mohd Abdul Karim was forced to sell some 202 million shares last week.

He remains confident the company would survive the crisis if the last two rounds of economic downturn before the company went public is any guide.

“This is slightly different because we are now a listed entity. We have to take care of all of the shareholders, stakeholders and potential investors that are looking at the prospect we have at the moment. But again, it goes back to fundamentals.

“We are putting all effort and options available so that we can find the best amicable way to mitigate this situation,” he added.

Mohd Abdul Karim has complete confidence in the new chairman Datuk Mohamed Ilyas Pakeer Mohamed and the board, with new members to navigate the group out of the woods.

He also put trust in regulators, the Securities Commission Malaysia and Bursa Malaysia, to deliver the best and balanced approach to all the parties that are entangled in the audit matters.

“We are giving all the necessary cooperation to ensure the process of information and what needs to be done, running smoothly so that this situation can be resolved as soon as possible”.

Global attention

Mohd Abdul Karim said the group has been receiving a lot of inquiries from its business partners, customers and suppliers globally, and the company had to do the explanation.

“This is no longer a local issue,” he said. “It is quite challenging. But as long as the company has the fundamentals, all the top management are still strongly united at the moment.”

The accounting matters aside, Mohd Abdul Karim said the group is very concerned about the Covid-19 situation, especially in South-East Asia and the Middle East, with strict lockdown measures still in place.

“It is very volatile. I had briefed analysts six months ago that we should be able to maintain the necessary trajectory target. That was when we had the second wave, but now we are in the third and fourth wave.”

He said the business and borders reopening in the US, Europe and the UK are positive, but how it would help overall recovery remains to be seen.

“We are working to achieve the maximum possible for 2021.”

With the lockdown, he said the engineering, procurement, construction and commissioning (EPCC) segment, as well as education and training, are affected.
