Working experience and occupation Tengku Badli has extensive years of exposure in the financial industry sector. He started his career as a Management Trainee in Hongkong and Shanghai Banking Corporation, Hong Kong (HSBC) in 1994 and continued his stint with HSBC Group in various senior positions covering both corporate and commercial as well as retail & consumer banking division. He later pursued his career with Kuwait Finance House (Malaysia) Berhad in February 2008 as Head of Branch Management prior to joining PMB Tijari Berhad in September 2013. Tengku Ahmad Badli holds Bachelor of Law degree (LLB Hons) degree from University of East Anglia, United Kingdom. He also attended Leadership Program at Cornell University in 2012 and Islamic Leadership Development Program at University Of Cambridge, United Kingdom in 2017.
He is also actively involved in serving the society. He was commissioned by SPB Yang Di Pertuan Agong as Major (Honorary) of Regimen 506AW, Angkatan Tentera Malaysia on 8 June 2011 and appointed as Justice of The Peace by The Sultan of Kelantan on 11 November 2012. He is also currently serving as the Deputy President of Malaysia Chess Federation (MCF), the principal authority/sports body for Chess in Malaysia, in affiliation with the world governing body, FIDE, and also serves as Deputy President ASEAN Chess Federation.

(1) The tenure of 3 years is consistent with the tenure for the previous warrants issued by
the Company (i.e. warrants 2012/2015, warrants 2014/2017 and Warrants C).
2.3 Basis and justification for the issue price and Exercise Price
The Warrants D will be issued at no cost to the Entitled Shareholders.
The Board has fixed the Exercise Price of the Warrants D at RM0.18 per Warrant D (or
the RM equivalent of the par value of the Shares on the exercise date of the Warrant D
based on the middle exchange rate as determined by BNM at 9.00 am, whichever is
higher).
The Exercise Price of RM0.18 per Warrant D represents a premium of 27.39% to the
theoretical ex-all price of XDL Shares of RM0.1413, calculated based on the 5-day VWAP
of XDL Shares up to and including the LPD of RM0.1220 and the entitlement basis of 1
Warrant D for every 2 existing Shares held.
