Why Peterlabs stakeholders want 7 directors out
KUALA LUMPUR: Two substantial shareholders collectively holding a 14.01% stake in Peterlabs Holdings Bhd want to oust seven board members.
The reasons being the seven directors have been drawing too high salaries and that the 10-member board is considered too big for the ACE Market-listed firm, said executive director Lau Kin Wai, who is also the board representative of Fatfish Venture Sdn Bhd.
Fatfish, which holds a 7.7% stake is one of the substantial shareholders which has served a notice to Peterlabs to requisite an EGM for the removal of seven directors, and appointment of three others as new directors and redesignation of one director.
Hoifutinhong Sdn Bhd is the other substantial shareholder holding a 4.06% stake.
Kin Wai claimed that the current board is not optimal due to three reasons. First, the board is too big for swift decision making and functioning effectively.
Secondly, a majority of its board members (70%) are above 60 years old. Thirdly, the directors are disproportionately rewarded with approximately 45% of the company’s net profit.
Peterlab’s director remuneration, including salary and bonus, amounted to RM1.73 million compared with annual net profit of RM4 million, according to its annual report for the financial year ended Dec 31, 2017.
“By shrinking the board and reappointing the directors, we could potentially enhance the bottom line. We need younger and talented people to bring the company to the next level,” Lau told The Edge Financial Daily.
“As an institutional shareholder, we are interested to enhance our investment value, there is something to improve the company, starting from the important component of the company — the board of directors,” said Kin Wai, adding that Peterlabs has not been able to unleash its full growth potential.
In a filling with Bursa Malaysia yesterday, the ACE Market-listed animal health and nutritional products maker said the directors whom the two shareholders want to remove are Lim Tong Seng, Datuk Hon Choon Kim, Dr Paul Cheng Chai Liou, Yap Siaw Peng, Lau Yeng Khuan, Dr Vijaya Raghavan A/L M P Nair and Azman Abdul Jalil.
Lim is the managing director and co-founder who is holding a 6.03% stake. The company’s largest shareholder is Teo Chin Heng, who is also the co-founder, with a 9.84% stake.
Meanwhile, they are proposing to appoint Chai Choon We, Goh Sim Geh and Cheoh Hor Jin to the board. There is also a proposal to redesignate Kin Wai as a sole managing director of the company.

Many O&G companies are making loss. But Scomi is quick in responding to the current oil price by merging it and give the mother ship 3 nice revenue streams. As long as they can balance the revenue, it should be doing better than other O&G dependent companies.

The way i look at it is @ 0.115 is low.
And there is no rights issue meaning the company is not asking for money, which they can with excuses.But they didn't.

20 Scomi Group is = 2.20sen at cost which is also =
10 new shares +
7 FREE warrants (@11.3sen 78sen)
So our net cost will be 1.42 or diverse by 20 = 7.1sen per share today.
Which is 4.5sen cheaper to current closing price of 11.5sen!!!

The actual profit is RM179.97 million. RM24.19 million Q3 profit + RM155.78 million GST Rebate = RM179.97 million.

Berjaya Assets Q3 net profit at RM179.87m
Berjaya Assets Berhad saw a net profit of RM179.87 million in the third quarter ended March 31, 2017, compared with a net loss of RM2.54 million a year ago mainly due to the reversal of substantial provisions for taxes in dispute.
Berjaya Assets Berhad registered higher pre-tax profit in the current quarter of RM24.19 million compared with a net loss of RM33,000 a year ago mainly due to favourable fair value changes of investment properties amounting to RM28.0 million.
For the nine months period, BAssets’ net profit more than doubled to RM25.55 million from RM11.09 million a year ago, while revenue dropped 6.3% to RM270.53 million compared with RM288.77 million in the previous year due to same factors in Q3.

It had NTA of MYR0.22 per share and NCAV of MYR0.17 per share. In other words, with its current share price of MYR0.09, TIGER is currently traded approximately 50% below its NTA and NCAV. In term of assets, TIGER had seems to be undervalue and it is because of its not profitable business.Once the share swaps complete, its semiconductor business is expected to contribute steady recurring income. The income from property development is expected to increase gradually too.

Thank you Ganni for taking my advice. If you still believe me, you should go in more. This counter is going to turnaround. By end of Nov, its 3Q results will prove me right. Then you will know if it is either liar or flyer.

Fundamental looks okey to me. The highlight is its power plants start to make modest RM1m in 2Q after broken down in late 2014. Look forward for full capacity power outout in 3Q which gives at least RM5m as in 2014.
