Roshidah's resume is not impressive at all. Her last company Renoex International S/B i dunno what capalang company cannot find in Google at all! I guess she is just plain lucky to know TSHS while working in UEM, and now got the job in Samsutec when TSHS decides to make a comeback to the corporate scene. The gain she made by selling the esos would be her 5 years salary i guess!

Australia has 2 accounting bodies ICA Australia and CPA Australia. ICA is the prestige one and CPA the pariah one. I would say that CPA Australia is one notch below ICAA and ACCA, and two notches below ICAEW.

She started as the Finance Manager in a subsidiary, Remedi Pharmaceuticals (M) Sdn Bhd, and later appointed as the Chief Financial Officer in 2003 and Chief Operating Officer in 2006.

Roshidah also has 2 years working experience with UEM Group Berhad and UEM Builders Berhad from 2008 to 2010 as the Director of Finance and Corporate Services.

Her last employment prior to joining the Company was as an Associate Director with Renoex International Sdn Bhd, a project management and business partnering consultancy services company.

Scope
Preparation of the monthly management accounts

SK Lee, you are a wise man. But it's easier said than done for most people. Most people just cannot tahan see the price up and down, so they tend to take profit first and wait for a lower entry. Many times too they will miss the opportunity and looking back years later, stay and ride the waves is the best move. Again easier said than done.

mmk79: though i'm only 15, but my uncle has brough me to meet many ceos and cfos. Not everyone is as rich as TSHS and CMY, these ceos and cfos are also employees who like to punt in the stock market. Whenever they are granted esos, they would sell the esos and punt in the stock market again or some smarter ones would use the money to buy property. That's my observation so i still maintain that rashidah is selling the esos for the windfall. Nothing wrong though. She the the right to do so since it's been approved by the shareholders.

mmk79: I dun think she is smart. She is just an employee wanting to enrich herself. This is not a one time esos, next year she will get another esos and i bet that she would sell as soon as she can.

Anyway as investors we should not be too concerned. We should only be concerned if TSHS or CMY starts selling.

CFO sell esos - this is non-issue lah. My bro-in-law EVP in Capitaland always sells he esos everytime he got it. The CEO of Capitaland also sells. ESOS is to enrich the management team. But very little or no effect to the stock performance in the market.

Another scenario: Say if after the CFO sold her shares at 0.31 average and the price dipped back to the 0.26-0.27 level, everyone would say: 'Wah rashidah you are so smart! You are the queen of stocks! Warren Buffet oso cannot fight'. Hihihi

Nobody would know how high the price of the stock can go. The CFO made a choice, she thinks 0.31 is about the ceiling. Nobody can fault her, after all Suma oredi move from 0.26 to 0.33, more than 20% gain. Maybe she thinks the news she had is worth the 20% gain. Anyway the 20m is just a small amount and been absorbed by the market easily. The price now is oredi 40.5sen. What the CFO did is history, a non-issue.

6. Shareholder approval

6.1 ESOS cannot be offered to employees of a company unless the shareholders of the company approve ESOS by passing a special resolution in the general meeting.



6.2 The explanatory statement to the notice and the resolution proposed to be passed in general meeting for ESOS shall, inter alia, contain the following information:



(a) the total number of options to be granted;



(b) identification of classes of employees entitled to participate in the ESOS;



(c) requirements of vesting and period of vesting;



(d) maximum period (subject to clause 9.1) within which the option shall be vested;



(e) exercise price or pricing formula;



(f) exercise period and process of exercise;



(g) the appraisal process for determining the eligibility of employees to the ESOS;



(h) maximum number of options to be issued per employee and in aggregate;



(i) a statement to the effect that the company shall conform to the accounting policies specified in clause 13.1.



6.3 Approval of shareholders by way of separate resolution in the general meeting shall be obtained by the company in case of:



(a) grant of option to employees of subsidiary or holding company, and



(b) grant of option to identified employees, during any one year, equal to or exceeding 1% of the issued capital (excluding outstanding warrants and conversions) of the company at the time of grant of option.

Windfall RM1m siapa tak mau? So remisier help u sell lor from 30sen-31.5sen. Average price 30.8sen for 20m shares. That was what happened.
