Pursuant to paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of TRIVE wishes to inform that the Company had on 05 October 2017 acquired a new company namely Daima Fujing New Energy Technology Sdn. Bhd. (“Daima Fujing”) for a total cash consideration of RM10.00 only. Following this transaction, Daima Fujing became a wholly-owned subsidiary of TRIVE.

Daima Fujing is currently dormant and will be principally involved in research and development, assembly, production, distribute and marketing of photovoltaic products such as solar cells, solar panels or solar modules including solar systems in design and storage of solar power.

The transaction will not have any effect on the Group’s earnings, net assets, gearings, share capital and substantial shareholdings structure for the financial year ending 31 January 2018.

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, either direct and/or indirect in the said transaction.

吉隆坡3日讯）因太阳能业务销售贡献上升，TRIVE产业（TRIVE，0118，主板科技股）截至2017年4月首季，取得22万8000令吉净利或每股净利0.02仙，按年转亏为盈。

首季营业额则录得186万令吉，比去年同期的126万8000令吉，按年增长46.7%。

该公司向马交所报备，在经历2015年的债务重组、2016年的私下配售、雇员认股计划、凭单转换，和偿还所有银行贷款后，财政状况显著改善，管理层可全神贯注地发展业务。

在扩展业务至建筑和产业发展领域后，加上与2个中国有限公司湖北光博新能源和福能科技江苏的合作，公司有信心未来有更佳的表现。

KUALA LUMPUR (June 7): Trive Property Group Bhd has proposed an issuance of up to 500 million new shares to Australian bank Macquarie Bank Ltd to raise up to RM60.5 million to fund a residential development project in Kertih, Terengganu.

Upon completion of the exercise, Macquarie Bank will emerge as the biggest shareholder in Trive Property, holding a stake of between 25.9% and 27.2%. However, the bank does not intend to be a controlling shareholder, said Trive Property.

Under a conditional subscription agreement inked with Macquarie Bank, Trive Property said the issuance will be made in multiple tranches within two years from the date of the issuance, which will be determined later.

The shares will be priced at 90% of the Trive Property’s five-day daily volume-weighted average price (VWAP) in the five consecutive trading days immediately preceding the date of the issuance, added Trive Property.

“The method for determining the subscription price was agreed on a negotiated basis between the company and Macquarie Bank,” the company said in a filing with Bursa Malaysia.

Trive Property will use RM60 million of the proceeds to fund the remaining works for Phase 1 of the Kertih project, which has a gross development value (GDV) of RM123 million.

Phase 1, said the developer, will comprise 211 units of double-storey terrace house and 68 units of single-storey semi-detached house.

Shares of Trive Property closed half a sen or 3.85% lower at 12.5 sen today, giving the group a market capitalisation of RM173.76 million.
