Solomolo... in my understanding, there are typically a few vehicles used by EY Group i.e Ernst & Young Plt (who does statutory audit and registered with the AOB), EY consulting (consulting & special work), EY Tax etc.. As stated in 2.24 od MMLR, the special auditor to do SIR means auditor other than the statutory auditor to do the statutory audit for the listed co. In this case EY uses EY Consulting to do SIR on Serba as they are not doing statutory audit on Serba. The statutory auditor for serba is now Nexia. I may be wrong, but this is my understanding.

EY Consulting does not have to register with AOB of SC to do SIR as this is not a statutory audit. Only auditor doing statutory audit ( i.e audited financial statements) on a listed co will need to register with AOB.

You need to pay 5 sen for one ICULS, later, conversion into PUC share is at 10 sen per share, page 4 of prospectus says u either (1) surrender two 5 sen Iculs for one 10 sen puc shares or (2) surrendering one 5 sen iculs plus pay 5 sen cash to get one 10 sen puc share.

Not sure, but i think the reserves & net debt are two different things. Reserve is like cash & bank balance on a company's balance sheet, whereas the country's net external debt (almost zero as mentioned by DBS) is like a company's foreign bank loan, minus value of assets that are held overseas. Not sure how true DBS' assessment though.

Dr Jog may be doing this for tax planning purpose. If I am not mistaken, In Germany, capital gains tax such as on share sale is applicable to a resident person and not a company. He expects the share price to go up further, so he did the transfer whilst the price is still low, the gain is low and the capital gain on him is still minimal. Once the shares are transferred to CP Asia, future capital gain on the shares are not taxable. Furthermore, after this, any share restructuring within group of business that he owns can be done a lot easier at lower tax cost. Just me guessing.

My guess they sign s&p in march, but completion occurred on 23 June. It is typical to complete s&p of this nature within a few months as there are typically conditions precedent to be fulfilled. My 2 sents
