the Board of Directors of MILUX, M&A Securities Sdn Bhd (“M&A Securities”) is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 18 June 2014 (which was received on 19 June 2014), resolved to approve the Proposed Share Split. MILUX is also required to furnish Bursa Securities with the following prior to the quotation of the Subdivided Shares
Proposed share split involving the subdivision of every one (1) existing ordinary share of RM1.00 each in Milux (“Existing Shares”) into two (2) ordinary shares of RM0.50 each (“Milux Shares” or “Subdivided Shares” (“Proposed Share Split”);
(ii) Proposed amendment to the Company‟s Memorandum of Association to facilitate the implementation of the Proposed Share Split (“Proposed Amendment”);
(iii) Proposed renounceable rights issue of up to 87,058,070 Milux Shares (“Rights Shares”) together with 87,058,070 free detachable warrants issued with the Rights Shares (“Warrants”) at an indicative issue price of RM0.50 per Rights Share on the basis of four (4) Rights Shares for every five (5) Milux Shares together with one (1) Warrant for every Rights Share subscribed after the Proposed Share Split (“Proposed Rights Issue with Warrants”); and
(iv) Proposed diversification of the business of Milux into the iron ore business (“Proposed Diversification”).
