I doubt it will go down because of the conversion as the warrant/shares holders will not sell because the conversion price is at 2.40...doesn't make sense to convert at 2.40 n sell in the open market at 2.05

overpriced?...based on?.....its down due to overall market decline and nothing to do with its own valuations...

If the warrant exercise price is fixed at too low a price, there might be incidences of instant arbitrage

Coz it is common for a company to list their warrants at a premium (up to a premium of max 20%). The gap usually narrow after awhile...
