On 25 August 2014, it was announced that the NGY Share Placement had been completed, which involved the subscription by Globaltec Energy Resources Sdn Bhd (formerly known as JCM Auto Components Sdn Bhd) (“GER”) and NCE of 83.3 million NGY Shares at A$0.03 per NGY Share representing a collective 19.9% equity interest in NGY for a purchase consideration of A$2.5 million. Upon the said completion, pursuant to Clause 1.4 of the Amended and Restated NGY IA, NCE shall further subscribe for NGY Shares for a total minimum commitment of A$10 million at a minimum price of A$0.03 per NGY Share subject to shareholder and regulatory approval, where necessary (“Additional NGY Funding”).
Following from the above we wish to announce that NGY, GER and NCE had on 15 September 2014 entered into a second share subscription agreement (“Second SSA”) in respect of the Additional NGY Funding (“Proposed NGY Subscription”).
1. DETAILS OF THE PROPOSED NGY SUBSCRIPTION
In fulfillment on the Additional NGY Funding obligation, the Company is proposing for GER and NCE to further collectively subscribe for 333.33 million NGY Shares at A$0.03 per NGY Share for a total subscription amount of A$10 million (“Total Second Subscription Amount”).
We wish to inform that the subscription price of A$0.03 per NGY Share is the same as the Placement Price paid by GER and NCE for the NGY Share Placement, of which the basis of determining the subscription price had been set out in the Announcement dated 8 August 2014, paragraph 2.7. The subscription price represents:
i) a discount of 6% to the closing market price of NGY of A$0.032 on 12 September 2014; and
ii) a discount of 79% to the audited consolidated net assets (“NA”) per NGY Share of A$0.14 as at 30 June 2014.
