The actual value of TAEnt is RM3.01 per share as the TAGB's assets are not revalued. Tony Tiah is getting 550,539,554 new TAEnt shares at RM0.665 per share. He is paying just a mere 22.1% of the the actual value.

Just from the new shares issuance alone, he is quietly gaining RM2.345 per share or RM1.291bil from this deal.

Listing TAGB's hospitality REIT will realise the hidden values of the hotels in TAGB and benefit all the shareholders of TAGB. I think Tony prefers to keep TAGB and TAEnt deeply undervalued and collect slowly at low prices. By this way, he can personally buy the hotel assets at a fraction of its market values.

The sales of the education arm which consists of SriKDU, KDU International School and REAL Schools would generate profit of RM487.81mil. After the completion of the sales, they is still another corporate exercise waiting in the pipeline.

The buildings which house University of Wollongong (UOW) Glenmarie, UOW Batu Kawan, KDU College Penang and KDU College Damansara are still owned by Paramount and they are merely rented out to the respective college operators. The premises are kept under one company and eventually the company will be turn into a REIT company. The exercise will again bring in another huge profit when the premises are revalued.

Just hold on to your holdings. Don't worry about holding an unlisted YTLland shares, you are still well protected. YTLland is still a subsidiary of YTLCorp and the company must still follow all the Bursa and SC rules and regulations in their accounting treatment and transactions.

I believe in a few years time, YTLland will be relisted at the full valuation of the company. That is the main reason that the current takeover general offer takes place. Buy at a dirt cheap price and relist it at a price a few times higher than the cost. Don't fall into their trap.

You will be well rewarded if you hold on to your shares. Don't accept the offer and don't sell it to them in the market.

Empire has two gaming facilities in Monticello, Sullivan County, namely RW Catskills and Monticello Raceway. The management has make an adjustment by proposing to shift the old Monticello Raceway facility to Woodbury Commons (a premium outlet shopping mall) in Orange County, New York. This relocation will be beneficial because the premium outlet is much nearer to New York and there are a lot of Asian premium customers. However, all these relocation needs capital and hence fresh funds to finance them.

RW New York (GenM) has a license for slot machines and electronic gaming machines only. RW Catskills (Empire) has a license for slot machines, electronic gaming machines and live tables. Therefore, after the completion of the acquisition, Genting Malaysia will have a full product line-up including slot machines, electronic gaming machines and live tables (Blackjack, Baccarat and etc). Genting Malaysia investment into Empire Resorts should be beneficial to GenM in medium and long terms.

Genting Malaysia has aldy owned a casino, RW New York. A good synergy will be formed between RW New York and RW Catskills. Genting Malaysia has to expand its business to stay competitive and relevant. The two casinos will compliment each other, share database (customer information), share management and achieve improved economies of scale.

RW Catskills just started its operation in February 2018. Furthermore, its other amenities are just starting to be completed. Kartrite Indoor Waterpark has opened its door. The RW Catskills golf course will be opened in 2020. Looking at all these, it is the right time and a good opportunity for Genting Malaysia to invest into Empire Resorts.

I will hold on to my holdings. Even though it is delisted, I don't mind to be a shareholder of an unlisted public company. Don't worry about being a shareholder of YTL Corp's subsidiary. You are still protected under Bursa Malaysia. YTL Corp has to abide to Bursa Malaysia's laws and regulations in the handlings of its subsidiaries.

Please treat the FGV shareholders fairly. By treating the FGV shareholders fairly, it is in fact treating Felda fairly as Felda is the biggest shareholder. The government should help to grow FGV and by doing so, Felda will be benefited in terms of share price increase and sharing of profit.

Extract from Azmin speech,
"Mohamed Azmin said Felda should receive an annual payment of RM248 million plus a 15% share of plantation profit generated from the 99-year lease of its commercial land."

If FGV were to make profit of RM1,248mil before the annual payment.

Felda share : RM248mil + RM150mil = RM398mil or 32%
FGV share : RM850mil or 68%

I think this is a very fair deal as FGV is doing all the job and Felda is only providing the land and "old" trees.
Furthermore, Felda has pocketed RM10.5bil during IPO. Based on interest rate of 6.5%, that RM10.5bil is yielding RM683mil per year.

If we take this RM10.5bil into consideration,
Felda share : RM1,081mil or 56%
FGV share : RM850mil or 44%

In fact, Felda gets more advantages from the LLA.

Azmin has to be fair to both FGV shareholders and Felda settlers. Felda settlers are not the only victims, FGV shareholders are victims as well. Felda settlers did not get what they were promised to receive. The same goes to FGV shareholders. FGV did not perform as what Felda had forecasted in the prospectus during IPO.

The LLA can not be simply amended. It has to get approval from FGV shareholders. The government or Felda has to pay compensation for any LLA amendment.

@JJ Chan, what you say about the drawbacks of the "1960 Acquisition Act" is true. However, the Southern Corridor ECRL cuts through new developments especially by Sime Property and Gamuda. Therefore, the plannings of the developments can be done with the consideration of the ECRL in mind.

According to Lim Guan Eng, the northern route through Gombak will cut across the 16km-long Klang Gates Quartz Ridge. The Selangor Government is currently lobbying for the Quartz Ridge to be gazetted as a Unesco World Heritage Site. Therefore, the southern route is a better option.

Other than privatisation, the other possibility is Felda may choose to terminate the LLA. In fact, this had been brought up a few times during the previous administration. I think LLA termination will be bad, but privatisation will be good for the FGV shareholders.
