IRIS CORPORATION BERHAD (the Company”) wishes to announce that it was served with a Petition for winding-up under Section 218 (1) (e) of the Companies Act 1965 (“the Petition”) by Dipon Gulf Infotech Consultancy LLC (“The Petitioner) dated 2nd March 2016. The Company received the Petition at its place of business on 7th March, 2016. By this Petition, the Petitioner alleges that the Company is indebted to them for the total sum of USD2,159,756.00 equivalent to RM9,047,571.00 (at the exchange rate of USD1.00: RM4.188 as at 1.3.2016) for services allegedly rendered and supply of labour for a project awarded to the Company in the Kingdom of Saudi Arabia.

The Petitioner via its solicitors served the Company a Statutory Demand pursuant to Section 218 of the Companies Act 1966 which was categorically denied and refuted by the Company’s solicitor via letter dated 20th November, 2015. The Company therefore deems the Petitioner, Dipon Gulf Infotech Consultancy LLC against the Company as nothing but retaliatory in nature.

It is also relevant to note that the Petitioner did not obtain any judgement from the Court on the amount allegedly due and owing to them. The Company’s solicitors are of the opinion that the Petitioner’s action in filing the said Petition is vexatious and frivolous. The Company shall through its solicitors apply to strike out the Petition as among other things and claim for abuse of process.

There is no material impact to the IRIS Group arising from this Petition and as advised, the Company reserves all rights to claim against the Petitioner and/or its solicitors for damages arising from this frivolous action.

The case is fixed for Hearing on 14th March, 2016.

This announcement is dated 9th March, 2016.

so your call bro after considering all these; nonetheless, market is the final judge of a price, it may go up depends on who is is pp; of down due to dilution

also depends on how many warrants converted, basically more more conversion more dilution

theoretically speaking; but ultimately share price is dictated by the market

nonetheless, that piece doesn't mean Iris had loss the contract from Tanzania, its just a slower revenue 'rake in' which was also stated in Iris annual report; this report clarified what really happened there;
something seem bad may not be bad at all...there would be a possibility that the new team they brought in might speed up things there which may convert to better revenue return for Iris at the end of Iris tenure there
