In view of the Covid-19 outbreak and the World Health Organization (WHO) declaring it a pandemic on 11 March 2020 , K-One has been constantly receiving requests on the supply of PPEs such as masks, face shields, gloves and disposable gowns to meet the prevailing shortage and urgency required by frontliners, especially those working in the hospitals. Being in Design & Development and manufacturing of medical/healthcare devices and supplies, K-One took the initiative and stepped up its efforts to supply the much needed PPEs to meet the market shortage.

Semalam saya bincangkan berkenaan perlunya keseimbangan maklumat bagi penjual dan pembeli saham di bursa saham.

Bagaimana pula jika orang yang ada maklumat yang didapati dari sumber dalaman dan menggunakan maklumat demikian untuk berjual beli saham? Orang yang berbuat demikian mungkin telah melakukan kesalahan "perdagangan dalaman". Ini adalah satu kesalahan berat dan boleh dihukum penjara 10 tahun dan didenda sekurang-kurangnya RM 1 juta.

Mengikut seksyen 188 Akta Pasaran Modal dan Perkhidmatan, orang dalaman ialah seseorang yang memiliki maklumat yang penting (material information) yang tidak di dapati di luar dan boleh memberi kesan ke atas harga sekuriti (saham atau waran). Orang dalaman demikian tidak dibenarkan untuk berdagang dengan maklumat tersebut.

Di antara contoh-contoh maklumat yang boleh dikira maklumat penting yang boleh mempengaruhi harga sekuriti adalah:

1. Keputusan kewangan syarikat sebelum ianya diumumkan di pasaran saham

2. Cadangan korporat seperti pengambilalihan syarikat lain, penjualan anak syarikat, penstrukturan semula kumpulan dan tawaran pengambilalihan yang diterima

3. Perkara-perkara seperti kontrak yang akan dianugerahkan, kontrak yang dibatalkan dan perkembangan perniagaan yang belum diketahui secara umum

Petua untuk mengetahui maklumat penting tu senang sahaja "adakah ianya akan mempengaruhi seorang pelabur yang munasabah untuk menjual atau membeli sekuriti berdasarkan maklumat berkenaan".

Kesalahan dagangan dalaman bukan sahaja terhad kepada pemegang saham, pengarah dan kakitangan syarikat yang terlibat yang mempunyai maklumat penting demikian tetapi merangkumi juga orang-orang yang menerima maklumat berkenaan seperti juruaudit, pegawai bank pelaburan, peguam dan mana-mana pihak lain yang terbabit.

Kadang-kadang maklumat penting ini boleh dibocorkan oleh orang-orang bawah seperti kerani, setiausaha dan sesiapa sahaja yang memproses maklumat penting seperti menaip dan menduakan dokumen yang mengandunginya.

Kalau pengarah memberikan maklumat penting kepada kekasihnya dan kekasihnya pula menggunakannya untuk menjual atau membeli saham syarikat berkenaan, dua-dua boleh "masuk ke dalam".

Sudah banyak kes-kes perdagangan dalaman yang didakwa oleh Suruhanjaya Sekuriti.
