@piranha88 Thank you for the explanation. Much appreciated.

Sorry... if worst case scenario (of not accepting the offer) is to get RM 1.30 per share, then why would any minority shareholder accept the offer now? I'm a bit new in this so any further explanation would be appreciated. Thanks!

I'm a noob - how do I trade my rights? Are they supposed to appear in my trading account?

Unless Jentayu's proposal is accepted by Khazanah and therefore the SCR does not materialize in the last minute (very small chance in my opinion), as it stands, you will be paid 27 cents per share.

Hi YLM & StrongeWinder. I will try to answer your questions to my best knowledge.

1. Yes, the EGM attendees were given RM800 travel voucher by MAS.
2. You can either sell your shares at 27 cents now, or wait until the SCR materializes sometime in December. If you choose to sell now, then you will get back your money almost immediately. But if you choose to wait for the SCR to take place, then you need not to do anything and later on you will be paid automatically according to the lots you hold by the end of December.
3. Either way, you will be paid 27 cents per share. It's just a matter whether you want to be paid now in the open market or by Khazanah in December. No other benefits I believe.

@pillay15 - Did they announce when exactly they are planning to buy back the remaining shares?

A lot of stake for Khazanah and the government if MAS filed for bankruptcy. I'm hoping that they would revise the offer if it is indeed rejected.

Say minority shareholders voted against, what are the possible consequences besides revising the offer price and declaring bankruptcy? FYI I'm also in the NO team... Just couldn't attend the EGM sadly :(

@rubisa57: At first, I thought the same. But then I read again the announcement that they will opt for Selective Capital Reduction (SCR) as a mean to get MAS privatized and delisted. I researched a bit about SCR and came across a document regarding the privatization of Uda by Khazanah using the same method back in 2006. I found out that using SCR Khazanah acquired the whole lot of shares that they didn't already own, leading to 100% of ownership by the time they got UDA privatized. That got me thinking that most probably the minority shareholders may not have a say to refuse to sell their shares if they don't agree with the proposed share price. I might be one of those shareholders unfortunately. I still hope that I am wrong on this though.

I was looking at the case in which the first time SCR was conducted in Malaysia (by Khazanah on UDA). They acquired 100% of the remaining shares by the same exercise. Just wondering if minority shareholders have the option of NOT selling, then remain as private investors until the stock is listed again if they implement this SCR scheme.

Just realized something. In the announcement, Khazanah aims to de-list MAS by means of Selective Capital Reduction instead of General Offer. Does this mean that they would acquire 100% of MAS shares (about 30% remaining) to get it privatized and the minority shareholders have no choice but to sell? Anyone from legal who would know about this?

0.27 is not attractive to me. Will continue holding, and wait for the stock to get listed again in 4-5 years time :)

@tienhieu: Once it gets delisted, you would still have the shares but cannot trade them anymore. You need to wait until it gets listed again to sell.

@Ibnu: That's what I know also. But becoming a private shareholder is not such a bad thing if you are willing to hold your shares for 3-5 years in my opinion. Imagine how much the price is after MAS gets listed again :)

That's what I asked earlier also. Does any of you have any idea how many shares does Khazanah need to acquire to privatize MAS? We know currently they are holding around 70% of the shares already. Do they need to acquire all of the remaining shares in order to allow privatization?

Stock

2014-07-05 18:26 | Report Abuse

Does Khazanah need to own all remaining shares that they don't already hold for MAS to be privatized? If not, what is the threshold percentage that they have to own in order to privatize it?

Stock

Hello everyone. Just want to ask a few things and if you can share your thoughts I would appreciate it very much.

1. If Khazanah plans to privatize MAS, doesn't that mean that they will sell to the purchasing group who is willing to take over the company? Or does it mean that Khazanah will delist MAS, buy the remaining shares from other shareholders (at whatever price) and manage it as a private entity?

2. Say that the share price is not preferable for us and then we decide not to sell the shares before privatization, is it possible that MAS will be listed again say in 5 years time? What are the chances of this happening?

Thank you.

When you buy that many shares of course you are entitled for some discount. I think this is quite normal. What is more intriguing to me is how much confidence these two investors have in Alam. In my opinion the price went down today possibly due to profit-taking by contra traders and dilution of shares to some extent. After the announcement, the demand for the stock was not immediate as you can see today thus there is no push for its price to increase. But I foresee that this will improve with time, especially if more projects secured by Alam.
