1. Debtors provide confirmation of debts due to Serba Dinamik.

External auditor KPMG has raised in the statutory audit report on May 3 that it has yet to receive confirmation from 11 of 12 debtors of Serba Dinamik.
Subsequently, Serba Dinamik wrote to all 11 and they have replied with confirmation of their debts to Serba Dinamik, involving total sales transaction of RM2.32 billion; trade receivables balance of RM652 million and materials on site balance of RM569 millions.
KPMG has yet to verify the completeness and authenticity of the aforesaid confirmation.


1. Juruaudit luaran KPMG membangkitkan dalam laporan audit berkanun bahawa ia belum menerima pengesahan 11 daripada 12 penghutang kepada Serba Dinamik.

Berikutan itu, Serba Dinamik telah menulis kepada 11 penghutang berkenaan dan telahpun menerima pengesahan daripada mereka berhubung hutang mereka kepada Serba Dinamik yang membabitkan urus niaga jualan berjumlah RM2.3 bilion, hutang perdagangan belum terima bernilai RM652 juta dan tuntutan bahan di lapangan bernilai RM569 juta.
KPMG belum lagi mengesahkan perincian dan ketulenan jawapan pengesahan hutang di atas.

2. Serba Dinamik’s management actions to facilitate confirmation process

Serba Dinamik willing to arrange meeting between KPMG and debtors; and suggested for KPMG to send out third confirmation letters to debtors;
Serba Dinamik also requested KPMG to share with it the returned and signed confirmation letters that may have contentious issues so that Serba Dinamik can investigate.

2. Tindakan pengurusan Serba Dinamik untuk memudah cara proses pengesahan.

Serba Dinamik sanggup menyusun pertemuan di antara KPMG dan penghutang; dan mencadangkan KPMG menghantar surat pengesahan hutang ketiga kepada penghutang;
Serba Dinamik juga meminta KPMG berkongsi dengannya surat pengesahan yang sudah ditandatangani dan dipulangkan oleh penghutang agar sebarang isu yang dipertikaikan dapat disiasat oleh Serba Dinamik.

3. Issues raised by KPMG relating to local suppliers of Serba Dinamik

KPMG queried why two local suppliers were incorporated on the same day; while 4 others have the same registered address as the two above; why five out of six each have same paid-up capital of RM100,000 and each owned by an individual despite having contract of RM60 million to RM96 million.

Serba Dinamik has clarified that it was appointed as anchor company of the Government’s Vendor Development Program (VDP) after graduating from Petronas vendor in 2007.
Under VDP, suppliers are assessed and recommended by supply change management of the programme. Companies appointed as Serba Dinamik’s vendors do not require huge share capital.
As for the same address, the companies share the same company secretary’s office and use the same secretarial services.
Two of the suppliers have agreed to meet KPMG but the external auditor has yet to response.

3. Isu dibangkit oleh KPMG berhubung syarikat pembekal tempatan Serba Dinamik.

KPMG mempersoalkan kenapa dua syarikat pembekal didaftar penubuhannya pada tarikh sama; manakala empat lagi memiliki alamat berdaftar yang sama dengan dua syarikat berkenaan; dan kenapa lima daripada enam syarikat pembekal masing-masing mempunyai modal saham berbayar RM100,000 dan setiap satu dimiliki oleh seorang pemilik sedangkan kontrak yang diperolehi adalah di antara RM60 juta hingga RM96 juta.

Serba Dinamik menjelaskan bahawa ia telah dilantik sebagai syarikat utama Program Pembangunan Vendor (VDP) kerajaan selepas beralih keluar daripada program vendor Petronas pada 2007.
Di bawah VDP, syarikat pembekal dinilai dan disyorkan oleh pengurusan pertukaran pembekal program itu.
Serba Dinamik juga berkata syarikat yang dilantik sebagai pembekalnya tidak perlu mempunyai modal saham berbayar yang tinggi.
Berhubung alamat berdaftar yang sama, Serba Dinamik berkata syarikat terbabit berkongsi firma setiausaha syarikat yang sama serta perkhidmatan yang sama.
Dua daripada syarikat pembekal bersedia mengadakan pertemuan dengan KPMG tetapi setakat ini belum mendapat maklum balas daripada firma audit luaran itu.

KPMG could not locate the office of the customer and supplier in Bahrain according to address given.
Serba Dinamik has sighted the wrong address and provided KPMG with the correct address on May 6.

Minority shareholders of Serba Dinamik Holdings Bhd has expressed concern following the company's decision to undertake a special independent review on its statutory audit.

Minority Shareholder Watchdog Group (MSWG) chief executive officer and executive director Devanesan Evanson said this is because the matters highlighted by the external auditors are deemed serious enough to warrant the appointment of an independent firm to assess the veracity and accuracy of the highlighted matters.
