On 29 April 2016, the Company received an official reply from HEH confirming that:
HEH has noted that despite Hibiscus Petroleum and HEH having expended their best efforts to proceed with the Proposed Acquisition, the conditions precedents in the Term Sheet were not met. Amongst the measures taken were initiating due diligence and independent probabilistic resource assessment of HEH’s assets subsequent to the execution of the Term Sheet;
the Term Sheet is at an end and neither party is bound by any future obligations under the Term Sheet; and
the breaking fee of USD3.5 million is not payable by Hibiscus Petroleum as the approval of HEH’s shareholders was not obtained.
