This counter already going up slowly from 0.06. See the chart you know already. I even collect it when it is in 0.06. I dont think it will shoot up to 0.18 on the spot. it will go up slowly.

Stock Watch: Halim Saad-linked duo eyeing CN Asia


NEW SHAREHOLDERS linked to business tycoon Tan Sri Halim Saad (picture) are expected to emerge soon in CN Asia Corp, whose shares soared 60% last month. “They are Wan Kamaruddin (Biji Sura) and James Chan (Yok Peng),” says an executive familiar with the matter.A source says the pair is seeking to acquire 30% of CN Asia’s 45.38 million issued shares and that the deal is “as good as done”. The company’s managing director Ho Cheng San is its single largest shareholder with a direct stake of 35.46% and indirect stake of 5.77%. It is learnt that Ho is willing to part with his controlling stake in the loss-making company and the recent spike in the stock will undoubtedly help pave the way for his exit. The hardly traded counter saw frenzied activity recently that sent it up to RM1.20 last Wednesday from 75 sen on March 28. Its trading volume and value too rose substantially.

A total of 2.6 million shares exchanged hands on April 4, a level not seen since January 2010 and which was more than 60 times the counter’s average one-year trading volume.On that day, the stock gained 13.5 sen or 17.65% to close at a high of 90 sen. It reached another high of RM1.30 on April 23, which was 47.73% higher than its year-to-date average of 88 sen.
It is worth noting that Charles Ross McKinnon, the second largest shareholder in CN Asia, sold two million shares or a 4.41% stake on April 21. The non-independent non-executive director now has 11.51% equity interest in the company.

The New Zealander sold CN Asia’s shares at RM1.06 apiece — which was at a 13.82% discount to the day’s closing price of RM1.23 — in a direct deal. The block of shares would have fetched RM2.12 million. McKinnon had emerged as a substantial shareholder in CN Asia in April 2011, when the shares were averaging 81 sen apiece. According to Bloomberg data, a total of 4.15 million shares or a 9.14% stake in CN Asia was traded off market last month. However, no announcements were made on the shareholding changes in the two blocks of 1.15 million and one million shares each.At press time last Thursday, there was no filing with Bursa Malaysia on the buyer of McKinnon’s block of shares.

It is not known what Kamaruddin and Chan’s plan is for CN Asia, which has been in the red since its financial year 2010 ended Dec 31 and has accumulated losses of RM21.27 million. In FY2013, CN Asia registered a net loss of RM725,963 or 1.6 sen per share compared with the previous year’s loss of RM1.56 million or 3.43 sen per share, where about half of the amount was due to impairments and write-offs. Revenue dropped 9.7% to RM18.41 million.

CN Asia is a designer of industrial equipment for the energy, petrochemical and industrial sectors. With total borrowings of RM11.1 million and shareholders’ funds of RM27.62 million, the company’s net gearing level was 0.37 times after taking into account its cash balance of RM852,717 as at end-2013. The company’s key assets are the three parcels of land it owns in Shah Alam. According to CN Asia’s FY2012 annual report, it owned three parcels with a total net book value of RM13.76 million. The biggest tract, measuring 2.38 acres, carried a net book value of RM10.87 million. The company’s one-acre parcel had a net book value of RM380,000 while its 1.62-acre parcel had a net book value of RM2.51 million.

Both Kamaruddin and Chan are perceived to be connected to Halim because of Sumatec Resources Bhd. Before Halim injected his oil and gas assets in Kazakhstan into Sumatec as part of its regularisation plan, Kamaruddin was its executive vice-chairman, a position he held from 2003. He is now its non-executive director. Chan was Sumatec’s managing director, but is now a non-executive director.

Kamaruddin and Chan, once the biggest shareholders of Sumatec via Tekad Mulia Sdn Bhd, now have a 7.43% stake. The former has a 0.02% direct stake in the company too.Halim has turned Sumatec into an upstream oil producer with oilfields in Kazakhstan. The company has said it plans to have 15 wells by the end of the year and expects to produce 2,000 barrels of oil a day from them.

Some quarters, however, remain sceptical about Halim’s asset injection and the viability of the oilfields. While waiting for oil revenue to start flowing to Sumatec’s bottom line, it is worth watching Kamaruddin and Chan.

What do they have in store for CN Asia and can they help the company ride the seismic growth in the local oil and gas sector? And if Halim himself were orchestrating the deal from behind the curtain, it would be interesting to see what he has planned.
