What is interesting is Johan sale of DCS , which will yield a profit of RM190M to the company & increasing the NTA of the company to 32cts...it was extended to 30th June 2021 and the fact that there was not announcement of any further extension of time, it is evident that the transaction has been completed .The company is finding a right timing to announce it.. Expect the price to surge, once the announcement is made...

The company made a Loss of RM32M last financial year mainly from the loss incur by DCS and with the sale of DCS , the bleeding of the company will stop & good times ahead is expected.

Trevor777...let me add on to your bed time story...when the PING deal was inked , the arrangement for the balance payment is to be satisfied by issuance of Dnex shares & RPS ie appro 360M Dnex shares and bal via RPS...the Seller keep to their part of the bargain even when Dnex shares peaked to over 80cts , when the shares were issued ..the Seller continue to accept the T & C of the deal inked... and thus ONLY Dnex shares was issued to complete the transaction and only close to half of the original shares was issued , thus avoiding dilution.

Note : This is possibly the 1st acquisition on the KLSE whereby the shares issued for the acquisition are made based on 5 days VMAP prior to the completion date and without any discount....fact check it....lol

In fact, Dnex acquisition of PING is a good deal ...

Huat huat 2020 post : Company not yet has any positive developments, Silterra has been losing since it founded 10 years ago. Accumulated losses of 9 billion.

How many years CGP and Dnex need to repay for the losses to bank ?

Caught lying or poor understanding or ignorant of the Silterra acquisition and how is the structure of the takeover ...??

For clarity , if Dnex were to buy into Silterra for RM1 and assume all the liabilities of Silterra, the statement holds TRUE ...BUT the acquisition entails the write down of substantial loan given by Khazanah to Silterra etc, etc amongst others .... & even the amount paid to Khazanah by Dnex is lesser that the loan written off by Khazanah. So fact check 1st b4 posting ....

But anyway, when a person simply shoot, this clarification made no difference to them ...only clarification to those genuine investors...

Trevor777@ - theedgemarket noted & it is correct . With the upward movement of Dnex shares, the mechanism for the settlement for the acquisition of PING has changed.

For clarification - When the proposal was initiated, Dnex shares was traded at appro. 25cts & thus the purchased consideration is structured based on the issuance up to a max of 360M Dynex shares, and the balance via RPS.

With Dnex shares now trading at 70cts plus , the balance of RM153.4M after the CASH PAYMENT from the acquisition, can now be fully settled vide the issue of Dnex shares based on the 5 days VWAP , without discount or premiun , 2 days prior to completion date.....assuming the price of Dnex after the Pricing Cut Off Date is 75cts , only appro 204 M Dnex shares will be issued....

The above info is correct ...you may wish to fact check it aand for your info...... if it is helpful .

Way forward , with a clean balance sheet , the company has enter into a JV with GeorgeKent 60:40 to enter into the Glove Business....and to call for a right issue of 1 for 2 at 10cts to finance their venture into the Glove Business which is expected to start trial production by August 2021 and commercial production by Dec 2021.. check out their Glove Venture Business..

With the completion of the Sale of Diners Club Spore(DCS) , the company is expected to make a profit of RM 190 M for the said sale and expected to be reported in the company Quarter... at the same time , the purchaser is expected to complete the SSA and finalise the Sale by 30th June 2021 unless further extended by the Purchaser...

At the same time , the company has also discontinue the other non profitable business of the company and has sold off the company piece of land for RM100M plus... as it stand , the company has CASH close to RM100M and the NTA prior to the sales of DCS is 9cts...with the completion of the DCS sale , the NTA will increased to 32.9 cts and the bank borrowing will be reduced to RM16M from RM530.0M...

If the company continue to pursue the Diner Card business, it will bleed the company further. The company has decided to dispose of Diner Card Spore for S$103.5MM or RM 313.9M . At the EGMM , the appoval from the shareholders have been obtained, and it is pending completion due to the compliance of the condition precedent to the SSA. It has been extended to 30th June 2021 for the purchasers to comply with the condition precedent to the Sale.

The company principal business is vide Diner Club Spore which contribute over 85% of the company turnover...However , Diners is making losses year in and year out and has borrowing of over RM500M to finance the card business and high finance costs... the gearing ratio of the company is also very high...

Guys, this may be a boring counter but it about to change..

Guys, The acquisition of PING & Silterra have been viewed positively by investors as well as Foxcom taking a substantial stake in Dnex... The purchase of PING has been approved at the EGM while Silterra acquisition approval by the EGM is expected by next week ...Why is Dnex shares still stagnant...???

This could be due to the following :

a. The purchase consideration of PING is for USD40.95M in CASH and the bal of USD37.05M or RM148M in Dnex shares. As per the SSA, the issue price of Dnex shares to be issued is to be based on the 5 days VMAP 2 days b4 the completion date, without any discount. The last 5 days VMAP is bet 86 to 88 cts. The estimated new Dnex shares to be issued would be around 168M shares.

When & at what price does both parties intend to complete this issue could possibly affect Dnex share price. !!!!!!!!

b. The pricing of the PP which has yet to be decided upon ... this possibly could be delay due to the improved cash flow of the company from the Dnex W conversion and the assertion of the MD too..maybe a higher PP price can bbe expected ....

So , watch out for the fixing of the price & number of shares to be issued for the PING acquisition. Once that is done, the CAP for Dnex price movement is unleash....

Guys, we have all been concentrating on Dnex acquisition of Silterra and we all forget about the Ping acquisition.. An EGM has been called on 18th June 2021, to approve the proposal.

Some teasers for the investors to ponder :

a. As part of the 60% acquisition of Ping, USD40.95M are to be paid in CASH and bal of USD37.05M via shares/RPS of Dnex. The pricing for the shares to be issued is to be based on the 5 days VWAP (without any discount) of Dnex shares up to 2 days prior to completion date.
b. Loan agreement has also been signed on 28th May 2021 with PING to provide up to USD40.95 M for the CASH payment to the Vendors. It is interest free and up to 6 years. This is, in the even Dnex need interim financing or decide to opt for it since it is interest free or to divert out the available CASH from PING.

Will the share spike sharply with the pricing for the new shares for PING acquisition still pending and the 5 days VWAP pricing for the PP to be decided upon..????? Will the Vendors of Dnex agree to the price of the new shares to be issued if the issued price is too high. When the PING deal was proposed, the expected issue price for the shares is ONLY 25cts.

Trevor777 , just for your information & to clarify. As at 31 Dec 2020 , the company has a total Book Debt of RM982.0M . Out of this BOOK Debt , RM718,8M is the Vendor's Loan from Khazanah and the balance RM 263.9M are Bank Borrowing. As part of the T & C of the acquisition, the Vendor Loan of RM718M from Khazanah are to be waived off. As such, the acquisition of Silterra by Dnex only comes with the Bank Borrowing of RM263.9M as at 31st Dec 2020. This is a FACT and it is confirm. Please do check it out. If the acquisition of Silterra comes with the BOOK DEBT/Borrowing of RM982,00M , it is a BAD Deal for Dnex but it is not......

Check it out ...The 206M ICPS A & B are converted into shares of the company pre-acquisition together with the capitalisation of the Vendors Loan of RM718.9M. The Sale of Silterra to Dnex for RM273M is for 100.0% stake of Silterra inclusive of the conversion of 206M ICPS A & B and the waiver of the Vendor Loan of RM718.8M. Khazanah has ZERO Holding of Siltera , post acquisition of Silterra by Dnex....

Just for your information ..Trevor777...the Sale of Silterra to Dnex include the 206M ICPA A & B, which is to be converted into Ordinary Shares of Silterra, prior to the completion of the sale. You can re-verify this fact. If you take a closer look on how the whole deal was structured , Dnex got a good deal.

The one glaring and outstanding factor to weigh in is the TOTAL BOOK DEBTS which now stands at RM982 mill as at Dec 2020. We are most concern with this as it comes "Lock, Stock and Barrel" with the acquisition. Dnex and CGP would assume this as well.

a. You may have overlook the fine print and miss it out by stating that Dnex bought Silterra by assuming the BOOK DEBT amounting
to RM982M

Allow me to clarify how the purchased price was arrived at RM273 M

a. As at 31st Dec 2019 , the NTA of Silterra was RM 574M negative with RM206.9M in Series A & B ICPS outstanding .
b. The Vendor Loan to Silterra was RM 982 M

As part of the purchased consideration ,

a. ALL the Series A & B ICPS amounting to RM206.9M is to be converted into Shares in Silterra.
b. RM 718.8 M of the Vendor Loan are to be capitalised by the company prior to the completion of the SALE.

With the capitalisation of RM718.8M , the impact on the NTA of the company are as follows :

i. NTA prior to Loan Capitalisation : RM 574.0M Negative
ii Capitalisation of Vendor Loan of RM718.8M : RM 718.0
NTA after Capitalisation of the Vendor Loan : RM 144M
Purchase Consideration 1.89X NTA : RM 273M.

NOTE :

1. With the above, the balance debt post acquisition is only appro RM 264M and NOT RM982 M
2. Important question , is the Vendor Loan given to Silterra interest bearing pre acquisition as the answer is pretty obvious on the turnaround of the company .

Guys , I note with great interest on a very meaningful viewpoints on this counter ....I just wish to add the following for the Members review and only applicable who have done research on this counter..

1. Fact on Dnex proposed acquisition :

a. 60% of PING for USD78M or appro RM 320M
b. 60% of Silterra for RM 163M

Total cost of acquisition is RM 483.0M

2. Are they able to raise the fund for the acquisition :

a. The initial plan is to raise the funding from the PP placement 891.0M shares to fund the acquisition .

b. However , with the recent spate of W conversion, ESOS & PP , between 1st Jan till to date appro. RM 215M has been raised in the company coffer.

c As at 31st December 2020, their CASH position is appro RM66.0 M and the CASHH on hand as at todate is appro. RM281.0 M

d. More conversion of the W is expected for the company months and that will further increased their CASH position.

3. Why PP was issued :

a. It is clearly stated that the PP is to be raised to fund the acquisition under 1 a & b above amounting to RM 483.0M

b. As compared to the other PP raised by other company , the usage of the PP is not clearly defined and ay not be put to investment that will yield good return ...for Dnex is their 2 acquisition will improve their financial performance , you be the judge.

4. Will the company faced financial contraint after the acquisition :

a. As it stand , the company has RM281M and assuming the new PP is prices att 60cts , a further sum of RM530M will be raised ...Their total Cash position will be appro RM811M & is more than sufficient to fund the acquisition and with surplus for WC...

5. Why the price hovers around 60 to 70cts :

a. the answer is very obvious and AGM is on the 20th May and after that date the PP price can be fixed ...do you really think the price will still hover around 60 to 70cts...take your own call,,

Then he said that the counter price would raise up to deceive people buying entering the arena. I think this stock will fall to 0.08 or 0.075

Result for Q ended 31/3/2021 will show losses from the Mark to Market accounting on their portfolio investment ...however their cost of original investment costing RM207M is expected to remain intact come Q ended 30 June 2021 but there will be a huge losses on their quoted investment esp on Focus, based on mark to market accounting, expected to exceed RM700M if the share stays at 9cts...

Expect Fintec to revert their financial accounting on their investment portfolio, to be on Equity Basis and that will put the company of firmer footing in respect to their Q Reporting , without the wild swing on their quoted investment portfolio. But they will have to take a hit based on the valuation of their portfolio investment on their balance sheet, which will reduce their NTA from 40cts plus too around appro 15cts plus....

Evaluate for yourself & made your own call on Fintec...
