The Board of Directors of HLCB ("Board") hereby announce that the Company has today received a notice of conditional voluntary take-over offer from OSK Investment Bank Berhad, on behalf of Hong Leong Financial Group Berhad to acquire all the remaining ordinary shares of RM1.00 each in HLCB not already held by the Offeror for a cash consideration of RM1.71 per Offer Share (“Notice”).

A copy of the Notice is enclosed herewith. Copies of the Notice will also be posted to all the holders of the Offer Shares within seven (7) days from the date of this Announcement.

This announcement is dated 14 January 2013.
