Serba Dinamik activates its first teleport and network operating centre with strategic partner

KUALA LUMPUR (June 29): Serba Dinamik Group Bhd (SDGB) has activated its first teleport and Network Operating Centre (NOC) with its strategic partner, Network Innovations, a global integrated technology provider.

In a statement, SDGB said its primary role in this New Space Economy Nexus (NSEN) is to invest in the assets and infrastructure to solve earth bound issues from space.

"To develop this satellite technology, SDGB is partnering with global industry leaders to harness their technical know-how and capabilities for business expansion and industry-academia collaboration," it said.

SDGB noted that the Space Technology Division is initiating corporate social responsibility projects to support the Ministry of Education by offering connectivity solutions to unserved and underserved areas in four selected locations.

"All these sites are expected to be up and running by the second week of July 2021," it added.

SDGB said it will also start investing in assets and infrastructures relating to satellite connectivity.

"As part of its long term plan, SDGB is now at the design phase for its own telecommunication satellite with its partners from all over the world.

"This design phase involves NSEN university partners. The main deployment of satellite services will be initiated soon in Sarawak," it said.

In the meantime, SDGB have started partnering with global space industry leaders to harness their technical know-how and capability building through business expansion and industry-academia collaborations.

"SDGB intends to explore the global market in network managed services and satellite solutions," it noted.

Ernst & Young Consulting SB (EY) has accepted its appointment as Serba Dinamik Holdings independent reviewer to assess the veracity and accuracy of the matters highlighted by the oil and gas services provider's former external auditor, KPMG PLT. The group also notified that its co-founder Datuk Awang Daud Awang Putera sold 8m Serba Dinamik shares in the open market on June 25, reducing his stake to 52.39m shares or 1.41%. Meanwhile, the EPF disposed of 2.04m shares in Serba Dinamik on June 23, further trimming its stake to 281.08m shares or 7.58%. (The Edge)

SHAH ALAM: Pengerusi Lembaga Pengarah Serba Dinamik Holdings Bhd, Datuk Ilyas Mohamed berkata, tiga nama calon sudah dikenal pasti untuk dilantik sebagai pengarah syarikat.

Belajar dari pengalaman kata beliau, syarikat memilih individu yang berpengalaman dan lebih matang dalam membuat keputusan.

"Sebanyak tiga nama telah dikenal pasti dan mereka ini mempunyai pengalaman yang luas dalam bidang perbankan kewangan Islam, undang-undang dan tadbir urus korporat serta integriti," katanya dalam satu kenyataan hari ini.


Beliau diminta mengulas peletakan jawatan lima Pengarah Bebas yang menyatakan alasan mereka sebagai tidak bersetuju dengan isu membabitkan KPMG dan syarikat.

Ilyas Mohamed berkata, peletakan jawatan lima Pengarah Bebas semalam, sebagai sesuatu yang `sudah dijangka'.


"Ini kerana mereka tidak memberi kerjasama dalam mesyuarat Lembaga Pengarah, termasuk dengan tidak menghadiri mesyuarat walaupun mengetahui syarikat berdepan isu sebegini.

"Dalam masa yang sama juga, syarikat termasuk Pengarah Bebas sebelum ini sememangnya sudah bersetuju membuat rombakan ke atas Lembaga Pengarah sedia ada.

'Keputusan yang diambil (menyaman KPMG) adalah berdasarkan majoriti sokongan dan jika mereka tidak bersetuju dengan tindakan ini, mereka sepatutnya hadir dan bukannya berdiam dan protes di sebalik tabir," kata beliau.

Kenyataan Ilyas Mohamaed itu konsisten dengan jawapannya semasa sidang media Selasa lalu, bahawa Pengarah Bebas tidak mengambil apa-apa tindakan untuk membantu pihak pengurusan dalam menyelesaikan perkara itu dengan serius.

"Jika mereka ini cekap dan tahu peranan mereka, masalah ini dapat diselesaikan dengan sebaik-baiknya, malah mereka juga tidak memainkan peranan mereka sebagai pengarah bebas.

"Ini jelas dilihat apabila mereka tidak mengendahkan permintaan IIC untuk bersemuka dengan menerangkan perkara sebenar. Adakah mereka ini mengambil berat tentang para pemegang kepentingan lain atau mereka ada agenda lain hinggakan masalah berlarutan sehingga kini," jelas Pengerusi itu lagi.

Selain itu juga, Ilyas Mohamed menjelaskan bahawa Lembaga Pengarah bersama pengurusan dalam peringkat lanjutan untuk melantik juruaudit luaran yang baru.

Terdahulu, Serba Dinamik mengumumkan keputusan kewangan bagi suku tahun berakhir Jun 2021 dengan keuntungan bersih sebanyak RM131 juta.

Keputusan baik itu dipacu oleh hasil sebanyak RM1.38 bilion berikutan aktiviti kukuh daripada segmen operasi serta penyelenggaraan (O&M) termasuk kejuruteraan, pemerolehan, pembinaan dan pentauliahan (EPCC).

Kumpulan itu dalam makluman kepada Bursa Malaysia semalami berkata segmen O&M dan EPCC masing-masing menyumbang 90.5 peratus dan 7.2 peratus.

Penyedia perkhidmatan minyak dan gas itu berkata tidak ada perbandingan maklumat kewangan yang tersedia untuk tempoh kewangan terkait disebabkan perubahan tahun kewangannya kepada 30 Jun berbanding 31 Disember pada 7 Mei lalu.

Penyata kewangan yang telah diaudit seterusnya akan tersedia bagi tempoh 18 bulan mulai 1 Januari 2020 hingga 30 Jun 2021 dan selepas itu, tahun kewangan terakhir akan dicatatkan menjelang 30 Jun untuk setiap tahun berikutnya.

Jumlah dividen bagi tempoh kewangan berakhir 31 Mac 2021 adalah 5.45 sen sesaham biasa.
