Malaysian ACE-Listed Kronologi Unit, Kronicles Singapore, Partners Trusted Source, a Subsidiary of Temasek Management Services to Provide Data Back-Up Kuala Lumpur/Singapore, 20 November 2017 – Kronologi Asia Berhad (“Kronologi”) announced today that its subsidiary Kronicles (Singapore) Pte Ltd (“Kronicles”) has signed an agreement to provide data backup services in collaboration with Trusted Source Pte Ltd (“Trusted Source”), a subsidiary of Temasek Management Services (“TMS”), which is a member of Temasek Holdings, a global investment company headquartered in Singapore. We refer to the announcements made on 9 October 2017 and 10 October 2017 in relation to the Proposed Acquisition (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 10 November 2017, resolved to approve the listing of up to 40,816,326 Consideration Shares to be issued pursuant to the Proposed Acquisition.

The approval granted by Bursa Securities for the listing and quotation of the Consideration Shares is subject to the following conditions:

(i) KAB and TA Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisition;

(ii) KAB and TA Securities to inform Bursa Securities upon the completion of the Proposed Acquisition;

(iii) KAB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition is completed; and

(iv) TA Securities to furnish a schedule on the information set out in Appendix 8E, Chapter 8 of the Listing Requirements to Bursa Securities, upon completion of the Proposed Acquisition.

KAB is required to ensure full compliance of all the requirements as provided under the Listing Requirements at all times.

Reference is made to Hua-An’s announcement on 4 March 2016 in respect of the Waiver Application.

The Board of Directors of Hua-An wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has vide its letter dated 16 June 2016 informed the Company of its decision to reject the following after due consideration of all facts and circumstances:-

(i) The Waiver Application; and

(ii) The Company’s appeal to Bursa Securities to accord it with an extended period of 24 months (from the date of Bursa Securities decision) to either recommence its coke operations or submit a regularisation plan, in the event the Waiver Application is rejected.

As such, Hua-An is now being classified as a Paragraph 8.03A Company.
