Salient Terms and Conditions of Service Agreement

3.2.1 Exclusivity
SGI agrees to grant PT Flower an exclusive right to undertake the mobile
security data processing services for SGI.

3.2.2 Duration

The duration of the Service Agreement is for a period of three (3) years
commencing from 1 April 2015 (“Duration”) and shall be extended for the
same duration upon the expiry of the Duration (“Extended Duration”). Upon
the expiry of the Extended Duration, the Service Agreement shall be
automatically renewed annually.

3.2.3 Payment Terms

PT Flower shall be entitled to a monthly data processing fee of USD0.60 (or
approximately RM2.22) per active subscriber on a recurring basis upon the
commercialisation of the Data Process Infra (“Infrastructure”).

3.2.4 Undertaking and Covenants

(i) PT Flower targets that the commercialisation date to be on 1 October
2015 and the setting up of the Infrastructure to be completed in the
second quarter of 2015.
(ii) PT Flower shall begin the Infrastructure system trial run in the third
quarter of 2015.
(iii) the Duration of the Service Agreement is subject to PT Flower fulfilling
the “stress test”.
(iv) SGI shall at its best endeavour to procure approximately 2,000,000
active subscribers to use the Infrastructure provided by PT Flower.


8.2 Earnings and net assets

The Proposed Acquisition is not expected to have any significant impact on the
earnings, earnings per share, net assets and net assets per share of Nexgram for the
current financial year ending 30 April 2015.

Notwithstanding the above, the Proposed Acquisition is expected to contribute
positively to the earnings, earnings per share, net assets and net assets per share of
Nexgram for future financial years.

I hv an interesting offer for NG forum regulars,a small betting opportunity as to the price direction of NG mother. The wager is 10,000 NG WB, valued at RM 350. The risk of the loser not honoring will be borne by me.(will explain later)

Since i believe its more likely to go up, this offer is directed to those who are convinced that the chances are higher that it will first go down further before heading up.

As i like my offer to be unquestionably fair so we shall assume that the current price is 11sen (10.5sen is not realy fair as ther are 3 times more buyers)

The offer goes like this-

1) we set the current price at 11sen.
2) 11sen will the middle point,it could either go 1.5 sen up or down
3) if the price touches 9.5sen first, I loose the wager
4) if the price touches 12.5sen first, I win the wager
5) the winner is decided by which price is reached first
6) no time limit to achieve either result
7) in the unlikely event the counter is suspended before a winner is established, all bets are off.

Hi Sarawak, it signifies several factors, such as quality of clients,global reach, absence of competitors, successful integration of clients are among them. The factor that interest me most is their service fee charged in the unicom case, it was an annual fee. The possible increments with upgrades( next gen platform) and expansion of services provided,as in the Small Guard service agreement, which is based on a anual individual user rate (if not mistaken around Rm2/user).

Another interesting factor is if u explore HasOffer's (ozura owned,tatto media product now called TUNE, hahaha ,mayb Tony fenandez got share) comprehensive developers platform. Its free for developers until it successfully crosses a certain target, where the developers already making substantial profits.

Bear in mind most of their deals are done by their affiliate companies(comps where they don't have controlling stake), these deals are difficult to track as regulations of disclosure are different. Example, in the accounts,only dividends received from affiliates are required as opposed to percentages of profits according to shareholding.

Considering these factors among others, increases the possibility of sudden spike in dividends,blindsiding majority of retail players, to the joy of directors! Wonder why not much recent news from Nextnation Prisma? Cause only gt 40% left la. Strategy disclosed!

40% of a cake may not be much, but multiply by the number of cakes? Leave it to your imagination.

Hi Savvy, mCommerce is going through unprecedented growth, 2015 touted to be the first bumper year!

NG still is and has been for more than a decade, leading innovators in this field. NEXGRAM's (NEXt GeneRAtion platforM) telco clients alone have combined market capital of hundreds of billions, maybe more!

Its a no brained (bar an act of God), the directors know this better than anyone else,and already acting on it.

My opinion ,is all the property developement talk is a convenient diversion for directors to legally accumulate economically.

Thats their unique marketing Model. They are technology providers, they allow partners/clients to market using their advanced techs. Thats why for a software tech company, no website for construction.

The mCommerce-suit marketing model pun sama, they mostly use resellers worldwide.

Most of the projects where they involve themselves, is just a prototype to proof economic viability.

They dont directly compete with partners/clients.

Remember social platform, Fonwar launch and explosive growth in indonesia, then suddenly stop!
Now all over the world partners can use their platform to market products. Example MigMe (formerly Mig33) using their social platform.
